Right to Examine Servicer Records. The Owner shall have the right to examine and audit any and all of the books, records, or other information of the Servicer, whether held by the Servicer or by another on its behalf, with respect to or concerning this Agreement or the Mortgage Loans, during business hours or at such other times as may be reasonable under applicable circumstances, upon reasonable advance notice.

Right to Examine Servicer Records. The Owner and the Master Servicer shall have the right to examine and audit any and all of the books, records, or other information of the Servicer, whether held by the Servicer or by another on its behalf, with respect to or concerning this Agreement or the Mortgage Loans or the performance by the Servicer of its obligations hereunder, during business hours or at such other times as may be reasonable under applicable circumstances, upon reasonable advance notice. The Servicer shall provide to the Owner, the Master Servicer and any supervisory agents or examiners representing a state or federal governmental agency having jurisdiction over the Owner or the Master Servicer, including without limitation the OTS, the FDIC and other similar entities, access to any documentation regarding the Mortgage Loans in the possession of the Servicer that is required by any applicable regulations. Such access shall be afforded without charge, upon reasonable request, during normal business hours, at the offices of the Servicer and in accordance with any applicable regulations.

Such examination and audit shall occur during business hours or at such other times as may be reasonable under applicable circumstances, upon at least three (3) days' advance notice to the Servicer.

Right to Examine Servicer Records. So long as any Mortgage Loan are being serviced hereunder and for a reasonable period after servicing has been transferred, the Owner shall have the right to examine and audit any and all of the books, records, or other material information of the Servicer, whether held by the Servicer or by another on its behalf, with respect to or concerning this Agreement or the Mortgage Loans, during business hours or at such other times as may be reasonable under applicable circumstances, upon reasonable advance notice.
Right to Examine Servicer Records. Each Securityholder, Grantor Trust Holder, the Indenture Trustee, the Grantor Trustee, the Owner Trustee and each of their respective agents shall have the right upon reasonable prior notice, during normal business hours and as often as reasonably required, to examine, audit and copy, at the expense of the Person making such examination, any and all of the books, records or other information of the Servicer (including without limitation any Subservicer to the extent provided in the related Subservicing Agreement), whether held by the Servicer or by another on behalf of the Servicer, which may be relevant to the performance or observance by the Servicer of the terms, covenants or conditions of this Agreement. In the case of the supervisory agents and examiners of the Issuer, the Indenture Trustee, the Grantor Trustee, the Owner Trustee, the Grantor Trust Holder and the Securityholders, access to the documentation regarding the Home Loans required by applicable state and federal regulations shall be afforded without charge but only upon reasonable request and during normal business hours at the offices of the Servicer designated by it. Each Securityholder, Grantor Trust Holder, the Indenture Trustee, the Grantor Trustee and the Owner Trustee agree that any information obtained pursuant to the terms of this Agreement shall be held confidential. The Servicer also agrees to make available on a reasonable basis to the Securityholders or any prospective Securityholder a knowledgeable financial or accounting officer for the purpose of answering reasonable questions respecting recent developments affecting the Servicer or the financial statements of the Servicer and to permit the Securityholders and any prospective Securityholder to inspect the Servicer's servicing facilities during normal business hours for the purpose of satisfying the Securityholders and such prospective Securityholder that the Servicer has the ability to service the Home Loans in accordance with this Agreement.

The Servicer hereby agrees that it shall reasonably cooperate in any such examination and oversight, including without limitation, granting access to any and all of the Servicer’s books, records, personnel and servicing operations or other information, including without limitation, electronic data its storage, the Servicer’s disaster recovery and business continuity plans and testing results, and any audit reports (including SAS 70 II audit reports) relating to its operations.
