Rights and Responsibilities of Contractor During City Emergency Operations. During City Emergency Operations the Contractor shall relinquish responsibility and authority for the management of its ambulances, equipment, facilities and records, shall not be responsible for the performance of any of its operating obligations hereunder, and shall cooperate with and assist the City in managing and carrying out such operating obligations. To the extent requested by the City, the Contractor’s management and staff personnel shall remain on duty and perform such tasks as the City may direct. The City may utilize the services of any person as its agent, independent contractor or consultant in exercising its rights hereunder, and in such event the Contractor’s cooperation, assistance and performance obligations under this extension shall extend to all such persons. The Contractor shall use its best efforts to mitigate its costs and the costs of the City during City Emergency Operations.
