RIGHTS AND RESPONSIBILITIES OF THE BOARD. Section 1. The Organization recognizes that the Board is the legally constituted body responsible for the management, direction and control of all of the public schools of the Indian Hill Exempted Village School District and of all personnel employed by the Board, and for the determination of all resolutions, policies, practices, procedures, guidelines, rules and regulations governing any and all aspects of the Board’s school district. Section 2. The Organization recognizes, without limitation, that all rights, powers, functions, responsibilities and authority of the Board existing before the execution of this Agreement, including those set forth in Section 1 above, and the following enumerated rights, the exercise of which rights shall not be subject to the grievance and arbitration procedures of Article IV, are specifically retained by the Board as sole and exclusive rights, except as they may be expressly and specifically modified by an express term of this agreement; (a) to determine matters of inherent managerial policy, which include, but are not limited to, areas of discretion or policy such as the functions and programs of the District, standards of services, the Board’s overall budget, utilization of technology, and organizational structure; (b) to direct, supervise, evaluate or hire employees; (c) to maintain and improve the efficiency and effectiveness of the District; (d) to determine the overall methods, process, means, or personnel by which the operations of the District are to be conducted; (e) to suspend, discipline, demote, or discharge for just cause, or layoff, transfer, assign, schedule, promote, or retain employees; (f) to determine the adequacy of the work force; (g) to determine the overall mission of the District; (h) to effectively manage the work force; and (i) to take actions to carry out the mission of the District. Section 3. It also is specifically acknowledged by the Organization that those rights, powers, functions, responsibilities and authorities of the Board contained in Sections 1 and 2 herein, and the use of judgment and discretion therewith, shall belong solely and exclusively to the Board during the term of this Agreement, except as may be expressly and specifically modified by an express term of this Agreement. RIGHTS AND RESPONSIBILITIES OF THE BOARD. Section A. Subject to the provisions of this Agreement and except as expressly provided otherwise by the terms of this Agreement, the Board and the Superintendent of Schools reserve and retain rights vested in the Board or in the Superintendent under governing law, ordinances, rules, and regulations as set forth in the Constitution, and laws of the State of Michigan and the United States, including but without limiting the generality of the foregoing, the right:
1. The Organization recognizes that To the Board is the legally constituted body responsible for the management, direction executive management and administrative control of the school system and its properties and facilities, and the activities of its employees on the job;
2. To hire all employees and subject to the provisions of law, to determine their qualifications and the public schools conditions for their continued employment, or their dismissal or demotion; and to promote, and transfer all such employees;
3. To establish courses of instruction, including special programs, and to approve the Indian Hill Exempted Village School District means and methods of instruction;
4. To provide for athletic, recreational, and social events for students, all personnel employed as deemed necessary or advisable by the Board, and for to determine the determination duties, responsibilities, and assignments of all resolutions, policies, practices, procedures, guidelines, employees;
5. To adopt reasonable rules and regulations governing any which are not in conflict with this Agreement;
6. To develop and all aspects control the budget of the Board’s school district;
7. To determine the structure and responsibilities of its school management organization;
8. To determine the number and location of its facilities.
Section 2. B. The Organization recognizesBoard recognizes that this Agreement sets forth limitations on the above named powers, without limitation, that all rights, powersauthorities, functions, responsibilities and authority of the Board existing before the execution of this Agreement, including those set forth in Section 1 aboveduties, and responsibilities, and hereby agrees to be bound by such limitations.
