Sale Agreement; Other Documents. This Agreement or counterparts hereof shall have been duly executed by, and delivered to, each Originator, the Servicer and Buyer, and Buyer shall have received such information, documents, instruments, agreements and legal opinions as Buyer shall request in connection with the transactions contemplated by this Agreement, including all those identified in the Schedule of Documents, each in form and substance satisfactory to Buyer.

Sale Agreement; Other Documents. This Agreement or counterparts hereof shall have been duly executed by, and delivered to, each Originator, the Servicer and Buyer, and Buyer shall have received such information, documents, instruments, agreements and legal opinions as Buyer shall request in connection with the transactions contemplated by this Agreement, including all those identified in the Schedule of Documents (except for items identified therein as applicable solely with respect to a New Originator in which event such items may be delivered on or prior to the Initial Sale Date for such New Originator). The Parent shall have executed in favor of the Buyer the Originator Support Agreement in the form attached hereto as Exhibit 3.01(a).

Sale Agreement; Other Documents. The Administrative Agent shall have received a true and correct copy of the sale agreement and any other relevant associated agreements effecting the European Subsidiary Sale in substantially the final form thereof and shall have received any other documents, certificates or instruments reasonably requested thereby.
