Sales-Based Milestone Payments. At such time as the cumulative Net Sales by Company and its Affiliates and Sublicensees over the term of this Agreement first reach the Net Sales sums set forth below, Company will pay to Licensor the following milestone payments: Cumulative Net Sales Milestone Payment US $[*] US $[*] US $[*] US $[*] US $[*] US $[*] Said payment shall be made within [*] ([*]) months after the end of the fiscal quarter of Company in which the cumulative Net Sales milestone was achieved.
Sales-Based Milestone Payments. Emergent shall promptly inform Aridis of the achievement of each of the milestones set forth below by Emergent or any of its Affiliates or, if applicable, any Emergent sublicensee. In partial consideration of the licenses and other rights granted herein and subject to the terms and conditions set forth in this Agreement, Emergent shall make the following non-refundable milestone payments to Aridis within thirty (30) days of receipt by Emergent from Aridis of a written invoice therefor:
Sales-Based Milestone Payments. The sales milestone payments indicated below shall be payable by BMS to Ambrx when the annual Net Sales in a Calendar Year for a given Product in the Territory by BMS, its Affiliates and Sublicensees for a given Calendar Year period first reach or exceed the Net Sales threshold amounts set forth below.
Sales-Based Milestone Payments. 5.3.1 Subject to the terms and conditions of this Agreement, including Section 5.3.2, in the event that the aggregate of all Net Sales of all Products made by Aptose or any of its Affiliates or sublicensees in a given Calendar Year exceeds a threshold (each, an “Annual Net Sales Milestone Threshold”) set forth in the left-hand column of the table immediately below (the “Annual Net Sales-Based Milestone Table”), Aptose shall pay to Hanmi a milestone payment (each, an “Annual Net Sales-Based Milestone Payment”) in the corresponding amount set forth in the right-hand column of the Annual Net Sales-Based Milestone Table. In the event that in a given Calendar Year more than one (1) Annual Net Sales Milestone Threshold is exceeded, Aptose shall pay to Hanmi a separate Annual Net Sales-Based Milestone Payment with respect to each Annual Net Sales Milestone Threshold that is exceeded in such Calendar Year. Each such milestone payment shall be due within sixty (60) days of the end of the Calendar Year in which such milestone was achieved.
Sales-Based Milestone Payments. In accordance with the terms and conditions of this Agreement, in the event that the aggregate of all Net Sales of all Products made by Licensee or any of its Affiliates or sublicensees (as applicable) in a given Calendar Year exceeds a threshold
Sales-Based Milestone Payments. InterMune will pay ALZA [*] within 30 days of the end of the first calendar year in which Net Sales in the United States are at least [*].
Sales-Based Milestone Payments. (a) BeiGene will make the one-time payments set forth in Table 3 below (the “Sales Milestone Payments”) to Ambrx when the aggregate annual Net Sales for all Product(s) for a Program in the Territory in a given Calendar Year by BeiGene, its Affiliates and Sublicensees first reach or exceed the Net Sales threshold amounts set forth below (each a “Sales Milestone Event”).
Sales-Based Milestone Payments. In partial consideration for the Exclusive Commercial License granted by Medarex pursuant to Section 2.1.2, BioTie shall make the following one-time payments to Medarex upon fulfillment of the below events: CONFIDENTIAL TREATMENT REQUESTED UNDER RULE 406 UNDER THE SECURITIES ACT OF 1933, AS AMENDED. [*****] INDICATES OMITTED MATERIAL THAT IS THE SUBJECT OF A CONFIDENTIAL TREATMENT REQUEST FILED SEPARATELY WITH THE COMMISSION. THE OMITTED MATERIAL HAS BEEN FILED SEPARATELY WITH THE COMMISSION. [*****] The sales-based milestone payments in this Section 3.3.4 shall only be paid once during the Term.
Sales-Based Milestone Payments. Sales-Based Milestone Payments. Subject to the limitations set forth herein, including without limitation those set forth in Sections 2.7(d) through (f) below, if any Sales-Based Milestone is achieved, then within ninety (90) days after the end of the calendar year in which such Sales-Based Milestone has been achieved by any Member of the Buyer Group, Parent shall deliver to the Holders Representative, for the benefit of the Participating Holders and for application and distribution in accordance Section 3.1 of the LLC Agreement, an amount of cash equal to the remainder obtained by subtracting from the Corresponding Sales-Based Milestone Payment the aggregate amount of any and all outstanding set off claims, if any, made against any Contingent Payment pursuant to Sections 2.7(h), 2.7(j), 2.7(k), 2.7(n), 3.7(e) or 9.5 hereof, provided however, that commencing five (5) years from the Effective Date, such ninety (90) day time period shall be modified to require payment of such Sales-Based Milestone Payment on or before March 15th of the calendar year following achievement of such Sales-Based Milestone. The obligation of Parent under this Section 2.7(a)(iii) shall be subject to the provisions of Section 2.7(m) below. For purposes of clarification, Parent shall make each Sales-Based Milestone Payment contemplated under this Section 2.7(a)(iii) []*.
