Scheduling Obligations. PG&E shall be Seller’s designated Scheduling Coordinator (as defined by CAISO tariff). PG&E will schedule Seller’ project using Prudent Utility Practices and Seller shall employ Prudent Utility Practices and exercise reasonable efforts to operate and maintain its project. All generation interconnection and scheduling services shall be performed in accordance with all applicable operating policies, criteria, guidelines and tariffs of the CAISO or its successor, and any other generally accepted operational requirements. Seller, at its own expense, shall be responsible for complying with all applicable contractual, metering and interconnection requirements. Seller shall promptly notify PG&E of significant (i.e., greater than 100 kW) changes to its energy schedules using PG&E’s web site (see Appendix D). Seller will exercise reasonable efforts to comply with conditions that might arise if the CAISO modifies or amends its tariffs, standards, requirements, and/or protocols in the future.
Scheduling Obligations. Seller, or a qualified third party designated by Seller, shall act as Scheduling Coordinator for the Project. Buyer hereby authorizes Seller, or its third party Scheduling Coordinator designee, to deliver the Electric Energy to the CAISO at the Delivery Point.

Condition Precedent to the Green Attributes Obligations: Notwithstanding any other provision of this Confirmation to the contrary, all of the Parties’ obligations except for the Parties’ confidentiality obligations under Article 9 herein, are conditioned upon (a) Seller’s receipt, or the Parties’ written waiver, of CPUC Approval as defined below ; and (b) Seller’s receipt of the Performance Assurance from Buyer no later than five (5) Business Days following Seller’s Notice to Buyer of CPUC Approval (defined below) (collectively, “Green Attributes Condition Precedent”).

At MCE’s direction, MCE’s designated Scheduling Coordinator will schedule the output of the Facility using Good Utility Practices and Seller shall employ Good Utility Practices and exercise reasonable efforts to operate and maintain the Facility. All necessary generation interconnection and scheduling services shall be performed in accordance with all applicable operating policies, criteria, guidelines and tariffs of the CAISO or its successor, and any other generally accepted operational requirements. Scheduling Obligations. Seller shall notify Purchaser of the quantity of energy to be delivered for each hour, prior to the beginning of each month and such quantity may be adjusted by Seller with notice to Purchaser at least twenty-four (24) hours prior to the Tariff’s deadline to submit ISTs on a day-ahead basis in the IST-APN Integrated Forward Market, which amount shall be the “Designated Contract Capacity”. For each hour of each day in the Delivery Period, Seller shall schedule to the Purchaser the Designated Contract Capacity, if any, as an IST-APN in the Integrated Forward Market at the Delivery Point on a day-ahead basis in accordance with the Tariff. In the event all of the scheduled quantity of the Product is not delivered after the IST has been scheduled between the Buyer and Seller, Buyer shall pay Seller the price paid to Buyer from the CAISO applicable to each hour times the IST quantity in that hour that exceeds the Product quantity actually delivered in that hour.
