School Operations/Finance/Infrastructure. During Licensee’s start-up phase, the CWC Network plays a primary role in assessing financial viability of the CWC Network’s model, setting up the regional corporate structure, and undertaking additional operations, legal and financial tasks. The CWC Network: • Assesses revenue of region to understand the financial viability of the model. • Develops School budget as part of the chartering process. • Initiates facility conversations with local experts. • Engages legal counsel and support to advise on the charter application, Licensee’s corporate formation and tax-exemption. • Sets up corporate structure and undertakes initial federal, state and local regulatory filings. • Applies for payroll tax identification numbers, both federal and state. • Sets up Directors and Officer’s insurance to protect Licensee’s directors and officers. • Establishes local bank accounts. • Oversees the development of the operating budget. • Provides zero interest start-up financing. • Vets vendors and makes recommendations to Licensee’s board. • Provides Licensee’s board and leadership with Human Resource support, including hiring paperwork, payroll, etc.

In this area, the CWC Network: • Performs financial oversight over Licensee and the Schools to ensure (i) that strong financial controls are in place and (ii) overall financial health. • Continues to vet and recommend vendors. • Shares best practices to increase Licensee’s operational efficiency. • Supports Licensee’s leadership in creating their strategy for future growth. • Provides Licensee with an operations toolkit, which may include, for example, model handbooks, manuals and guides to support internal and external and communication on school policies. • Provides Licensee with logos and website support.

In this area, the CWC Network: • In the discretion of the CWC Network and subject to available funds, provides and/or assists in the acquisition of no interest or below-market rate financing to address cash flow or other financial hurdles. • Performs financial oversight over Licensee and the Schools to ensure (i) that strong financial controls are in place and (ii) overall financial health. • Continues to vet and recommend vendors. • Shares best practices to increase Licensee’s operational efficiency. • Supports Licensee’s leadership in creating their strategy for future growth. • Provides Licensee with an operations toolkit, which may include, for example, model handbooks, manuals and guides to support internal and external and communication on school policies. • Provides Licensee with logos and website support.

Related to School Operations/Finance/Infrastructure

  • Infrastructure (a) The Borrower has and will maintain a sufficient infrastructure to conduct its business as presently conducted and as contemplated to be conducted following its execution of this Agreement.

  • Operations Fire An “Operations Fire” is a fire caused by Purchaser’s Operations other than a Neg- ligent Fire. Forest Service, except as provided in B7.3, shall use cooperative deposits under B4.218 to perform fire sup- pression activities on Operations Fires. Xxxxxxxxx agrees to reimburse Forest Service for such cost for each Opera- tions Fire, subject to a maximum of the dollar amount stated in A14. The cost of Purchaser’s actions, supplies, and equipment on any such fire provided pursuant to B7.3, or otherwise at the request of Forest Service, shall be credited toward such maximum. If Purchaser’s actual cost exceeds Purchaser’s obligation stated in A14, Forest Service shall reimburse Purchaser for the excess.

  • School Operations The School’s governing board shall be solely responsible for the operation of the school and exercise continuing oversight over the School’s operations. The School’s governing board will define and refine policies regarding educational philosophy, and oversee assessment and accountability procedures to assure that the School’s student performance standards are met or exceeded.

  • Configuration Management The Contractor shall maintain a configuration management program, which shall provide for the administrative and functional systems necessary for configuration identification, control, status accounting and reporting, to ensure configuration identity with the UCEU and associated cables produced by the Contractor. The Contractor shall maintain a Contractor approved Configuration Management Plan that complies with ANSI/EIA-649 2011. Notwithstanding ANSI/EIA-649 2011, the Contractor’s configuration management program shall comply with the VLS Configuration Management Plans, TL130-AD-PLN-010-VLS, and shall comply with the following:

  • Infrastructure Vulnerability Scanning Supplier will scan its internal environments (e.g., servers, network devices, etc.) related to Deliverables monthly and external environments related to Deliverables weekly. Supplier will have a defined process to address any findings but will ensure that any high-risk vulnerabilities are addressed within 30 days.

  • Electric Storage Resources Developer interconnecting an electric storage resource shall establish an operating range in Appendix C of its LGIA that specifies a minimum state of charge and a maximum state of charge between which the electric storage resource will be required to provide primary frequency response consistent with the conditions set forth in Articles 9.5.5, 9.5.5.1, 9.5.5.2, and 9.5.5.3 of this Agreement. Appendix C shall specify whether the operating range is static or dynamic, and shall consider (1) the expected magnitude of frequency deviations in the interconnection; (2) the expected duration that system frequency will remain outside of the deadband parameter in the interconnection; (3) the expected incidence of frequency deviations outside of the deadband parameter in the interconnection; (4) the physical capabilities of the electric storage resource; (5) operational limitations of the electric storage resources due to manufacturer specification; and (6) any other relevant factors agreed to by the NYISO, Connecting Transmission Owner, and Developer. If the operating range is dynamic, then Appendix C must establish how frequently the operating range will be reevaluated and the factors that may be considered during its reevaluation. Developer’s electric storage resource is required to provide timely and sustained primary frequency response consistent with Article 9.5.5.2 of this Agreement when it is online and dispatched to inject electricity to the New York State Transmission System and/or receive electricity from the New York State Transmission System. This excludes circumstances when the electric storage resource is not dispatched to inject electricity to the New York State Transmission System and/or dispatched to receive electricity from the New York State Transmission System. If Developer’s electric storage resource is charging at the time of a frequency deviation outside of its deadband parameter, it is to increase (for over-frequency deviations) or decrease (for under-frequency deviations) the rate at which it is charging in accordance with its droop parameter. Developer’s electric storage resource is not required to change from charging to discharging, or vice versa, unless the response necessitated by the droop and deadband settings requires it to do so and it is technically capable of making such a transition.

  • Network Management 60.1 CLEC and CenturyLink will exchange appropriate information (e.g., network information, maintenance contact numbers, escalation procedures, and information required to comply with requirements of law enforcement and national security agencies) for network management purposes. In addition, the Parties will apply sound network management principles to alleviate or to prevent traffic congestion and to minimize fraud associated with third number billed calls, calling card calls, and other services related to this Agreement.

  • Drainage Systems (1) Clear culvert inlets, outlets, and sediment catching basins.

  • Utility Infrastructure During the term of this Agreement, Company will have the right to receive water, sanitary sewer, electric, storm drainage, telecommunication and data services at the Premises.
