Secured Funded Debt Ratio Sample Clauses

Secured Funded Debt Ratio. On a consolidated basis, maintain a Secured Funded Debt Ratio at all times but to be tested as of the end of each fiscal quarter of Hyatt of less than or equal to 0.30 to 1.00.
Secured Funded Debt Ratio. On a consolidated basis, maintain a Secured Funded Debt Ratio as of each Measurement Date of less than or equal to 0.30 to 1.00. Notwithstanding the foregoing, the Credit Parties shall not be required to comply with (A) the maximum Leverage Ratio for any Measurement Date occurring during the Covenant Relief Period or as of the Fixed Charge Coverage Ratio Measurement Date, (B) the maximum Secured Funded Debt Ratio for any Measurement Date occurring prior to the earlier of (x) the last day of the Covenant Relief Period and (y) the Security Release Date and (C) the minimum Fixed Charge Coverage Ratio for any Measurement Date other than the Fixed Charge Coverage Ratio Measurement Date.
Secured Funded Debt Ratio. Section 9.18(c) of the Loan Agreement is hereby deleted in its entirety and the following substituted therefor:

(z) The Credit Agreement is amended by restating the clause (i) of Section 7.1(c) thereof in its entirety as follows: (i) Any Credit Party shall fail to perform, comply with or observe any term, covenant or agreement applicable to it contained in Sections 2.3(e), 2.4(l), 5.3(a), 5.9 or in Section 6; (aa) The Credit Agreement is amended by adding to the end of Section 8.10 thereof the following: In addition, in order for the Administrative Agent to comply with the Patriot Act, prior to any Lender or Participant that is organized under the laws of a jurisdiction outside of the United States of America becoming a party hereto, the Administrative Agent may request, and such Lender or Participant shall provide to the Administrative Agent, its name, address, tax identification number and/or such other identification information as shall be necessary for the Administrative Agent to comply with federal law.

  • Consolidated Senior Secured Leverage Ratio Upon and after the consummation of a Qualified Notes Offering, permit the Consolidated Senior Secured Leverage Ratio as of the end of any fiscal quarter of the US Borrower (beginning with the fiscal quarter ended September 30, 2018) to be greater than (A) during a Specified Acquisition Period, 4.00 to 1.00, and (B) at all other times, 3.50 to 1.00.

  • Funded Debt to EBITDA Ratio To maintain on a consolidated basis a ratio of Funded Debt to EBITDA not exceeding 3.0:1.0.

  • Total Debt to EBITDA Ratio Not permit the Total Debt to EBITDA Ratio as of the last day of any Computation Period to exceed 3.25 to 1.00.

  • Consolidated Leverage Ratio Permit the Consolidated Leverage Ratio as of the end of any fiscal quarter of the Borrower to be greater than 2.50 to 1.0.
