Securities Portfolio. Since December 31, 2007, there have been no material changes in the quality of Premier’s or any of the Premier Banks’ portfolios of securities.
Securities Portfolio. Purchase any securities other than short-term securities issued by the United States Department of the Treasury or any United States governmental agency.

Except as would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect, the Company and the Company Subsidiaries have good and marketable title to all securities held by them (except securities sold under repurchase agreements or held in any fiduciary or agency capacity) free and clear of any Lien, except to the extent such securities are pledged in the ordinary course of business to secure obligations of the Company and the Company Subsidiaries, and such securities are valued on the books of the Company and the Company Subsidiaries in accordance with applicable accounting principles consistently applied.
Securities Portfolio. Since December 31, 2014, there have been no material changes in the quality of the Bank’s portfolio of securities except as previously disclosed to Premier in writing.
Securities Portfolio. Except for fluctuations in the market values of United States Treasury and agency, mortgage-backed or municipal securities, since December 31, 2001, there has been no significant deterioration or Material adverse change in the quality, or any Material decrease in the value, of the securities portfolio of the Buyer and its subsidiaries, taken as a whole.
Securities Portfolio. All securities held by Buyer or any of its Subsidiaries, as reflected on Buyer's consolidated balance sheet as of June 30, 2017 included in Buyer's SEC Documents, are carried in accordance with GAAP, specifically including Statement of Financial Accounting Standards No. 115. Except as Previously Disclosed and except for pledges to secure public and trust deposits, advances from the Federal Home Loan Bank of Des Moines and borrowings from the Federal Reserve Bank of St. Louis, none of the securities reflected on Buyer's consolidated balance sheet as of June 30, 2017 included in Buyer's SEC Documents and none of the securities since acquired by Buyer or any of its Subsidiaries is subject to any restriction, whether contractual or statutory, which impairs the ability of Buyer or any of its Subsidiaries to freely dispose of such security at any time, other than those restrictions imposed on securities held to maturity under GAAP, pursuant to a clearing agreement or in accordance with laws.
Securities Portfolio. All securities held by the Corporation or any of its Subsidiaries, as reflected in the consolidated balance sheets of the Corporation included in the Financial Statements, are carried in accordance with GAAP. Except for pledges to secure public and trust deposits and Federal Home Loan Bank of Cleveland advances, none of the securities reflected in the Financial Statements as of March 31, 2012, and none of the securities since acquired by the Corporation or any of its Subsidiaries is subject to any restriction, whether contractual or statutory, which impairs the ability of the Corporation or any of its Subsidiaries to freely dispose of such security at any time, other than those restrictions imposed on securities held to maturity under GAAP, pursuant to a clearing agreement or in accordance with laws. Other than as set forth on the Securities Portfolio Schedule and to the extent not expressly set forth on the Corporation’s consolidated Financial Statements, none of the Corporation’s or any of its Subsidiaries, investments (including any trust preferred investments) are impaired or are expected to be impaired in the next 120 days.
Securities Portfolio. Since December 31, 2007, there have been no material changes in the quality of the Xxxxx Subsidiary Banks’ portfolios of securities except as previously disclosed to Premier in writing.
Securities Portfolio. Materially change its investment securities portfolio policy, or the manner in which the portfolio is classified or reported, or invest in any mortgage-backed or mortgage-related securities which would be considered “high-risk” securities under applicable regulatory pronouncements.
Securities Portfolio. Other than in the ordinary course, purchase any securities other than short-term securities issued by the United States Department of the Treasury with an original maturity that is no later than the last day of the month that immediately precedes the Closing Date, provided, however that the Bank may purchase certificates of deposit that are registered with the Depository Trust Company and that have an original maturity not to exceed twelve months.
