Common use of Seller’s Personnel; Objectionable Conduct Clause in Contracts

Seller’s Personnel; Objectionable Conduct. (a) Seller shall provide and make available, and/or shall cause its Contractors and Subcontractors to provide and make available, all such labor and professional, supervisory, and managerial personnel required for the proper and timely execution, completion, and maintenance of the Work in accordance with the Performance Standard, including technical assistants that are skilled and experienced in their respective trades and callings and skilled, semi- skilled, and unskilled labor. Seller’s personnel, and that of its Contractors and Subcontractors, shall be fully competent, qualified, licensed (to the extent required by Laws or applicable Permits), and experienced in the duties to which they are assigned, and shall meet the other requirements herein. Seller shall have sole authority and responsibility to employ, discharge, and otherwise direct and control its Employees, Contractors, and Subcontractors; provided, however, that, strictly in connection with its performance of the Work, Seller shall not employ, or permit any Contractor or Subcontractor to employ, any unfit individual or anyone not skilled in the portion of the Work assigned to such individual.
