SELLER'S RESOLUTIONS. Seller shall deliver to Purchaser certified copies of resolutions duly adopted by the board of directors of Seller authorizing and approving the execution and delivery of this Agreement, including the exhibits and schedules hereto, and the consummation of the transactions contemplated herein.
SELLER'S RESOLUTIONS. Seller shall deliver to Buyer a certified copy of resolutions duly adopted by the board of directors and stockholders of Seller and authorizing and approving the execution and delivery of this Agreement, including the exhibits and schedules hereto, and the consummation of the transactions contemplated herein.
SELLER'S RESOLUTIONS. A copy of the resolutions of the board of directors or managers, and of the shareholders or members, of each Seller, certified by an officer of such Seller as having been duly adopted and being in full force and effect, authorizing the execution and delivery of this Agreement and the Seller Documents and the performance by such Seller of its obligations hereunder and thereunder.
SELLER'S RESOLUTIONS. Buyer shall have received such resolutions or certificates, duly authorized by the officers, board or agents of Seller (as applicable), approving the transaction contemplated by this Agreement, dated as of the Closing Date;
SELLER'S RESOLUTIONS. A certified copy of resolutions and such other incumbency and other certificates and documents reasonably requested by Buyer, Title Agent and/or Escrow Agent to establish Seller’s authority to enter into this Agreement and the documents referenced herein and the transactions contemplated herein and therein, all certified as true and correct by an authorized signatory of Seller.
SELLER'S RESOLUTIONS. Certified copies of resolutions of the Shareholders and the board of directors of Seller approving this Agreement and the transactions contemplated herein in the form of EXHIBIT E attached hereto.
SELLER'S RESOLUTIONS. A certified copy of resolutions adopted by Xxxxxx’s board of managers or directors and/or the Members approving the sale, transfer and delivery of the Property to Xxxxxxxxx for the consideration and upon the terms and conditions provided for in this Asset Purchase Agreement.
SELLER'S RESOLUTIONS. 1.1.5 (if not already delivered) any waivers, consents, release or other documents necessary to vest in the Buyer or its nominee(s) the full legal and beneficial ownership of the Shares of the Holdco and to enable the Buyer to be registered as owner thereof;
SELLER'S RESOLUTIONS. Resolutions of the Seller authorizing the sale of the Stock in accordance with the terms hereof.
SELLER'S RESOLUTIONS. Certified copies of resolutions of the shareholders, if required, and the board of directors of Seller approving this Agreement and the transactions contemplated hereby in form reasonably acceptable to Buyer.
