Separate Memberships. With the exception of where a public entity is nominated under sub- paragraph 1 (c)(ii) of Article 5 of this Agreement to act on behalf of a State, nothing in this Article shall be deemed to restrict the ability of a State, a Regional Economic Organization, an International Development Financial Institution, an Export Credit Agency, or a Private Corporation to acquire and hold separate memberships in the Agency. For the avoidance of doubt, where membership is held in the name of a Member State, such Member State shall not also nominate or designate a public entity to hold its membership.

Separate Memberships. With the exception of where a fully owned government entity is nominated under sub- paragraph 5.1(c)(ii) to act on behalf of an African State or where a public entity is nominated under sub-paragraph 5.1(c)(iii) to act on behalf of a Non-African State, nothing in this Article shall be deemed to restrict the ability of a Member State, a Regional Economic Organization, an African Public Institution, , an Export Credit Agency a Non-African Public Entity or a Private Corporation to acquire and hold separate memberships in the Agency. For the avoidance of doubt, where membership is held in the name of a Member State, such Member State shall not also nominate or designate a fully owned government entity or a public entity to hold its membership.

  • Associate Members An Associate Member is any government or regulatory agency that has an interest in the development of oneM2M Technical Specifications and Technical Reports. The list of the Associate Members will be maintained by the Secretariat and visible to all oneM2M Participants.

  • Professional Memberships Each employee is eligible for reimbursement for membership fees or dues paid for the maintenance of a license required to perform employee’s job and for dues paid for membership in one additional job related professional association.

Benefits are term year specific so they can only be used during the current active plan agreement period. Members have the ability to change their plan from one plan to another but the plans cannot be unbundled. Each plan has been designed carefully to include those elements associated with the main intent of a particular plan.

  • Initial Members The initial Members of the LLC, their initial capital contributions, and their percentage interest in the LLC are as follows: Members Percentage Interest in LLC Capital Contribution (If any)

  • New Members No person may be admitted as a member of the Company without the approval of the Member.

  • Annual Membership Fee You agree to pay in advance a nonrefundable annual membership fee shown on page 1, whether or not you use your Card or Credit Card account. The fee will be charged on a periodic statement shortly after you open your Credit Card account and after that in the same month every year. We reserve the right to waive all or a portion of the annual fee.

  • THE MEMBERS Members are the owners of the Company. Members are not entitled to compensation for services furnished to the Company in the Member’s capacity as a Member. The name and residential address of each Member is contained in Exhibit 1 attached to this Agreement. Each Member’s initial membership interest is the percentage set forth in Exhibit 1. An unauthorized transfer of a Member’s interest could create a substantial hardship for the Company. Consequently, the Members agree to the restrictions and procedures affecting the ownership and transfer of the Members’ interests as identified in Article VII. The Members acknowledge these restrictions are not intended to penalize, but rather are intended to protect and preserve the existing trust-based relationships, the Company’s capital, and the Company’s financial ability to continue its operations.
