Service Cities. At Northwest Service Cities, Northwest shall provide Pinnacle with the Ground Handling Functions pursuant to Section 4.02 hereof utilizing Northwest’s owned and/or leased premises and equipment (including jetbridges) located thereon. Northwest shall cooperate with Pinnacle’s efforts to become a signatory carrier at such airports; provided, however, that if Pinnacle becomes a signatory carrier at any such airport Pinnacle shall vote as directed by Northwest on any matters submitted to the signatory carriers for a vote. At Pinnacle Service Cities, Pinnacle shall be solely responsible for all of its facilities and equipment requirements, excluding jetbridges, which shall be the responsibility of Northwest; provided, however, if Northwest owns and/or leases facilities at a Pinnacle Service City and elects to provide Ground Handling Functions to Pinnacle pursuant to Section 4.02, Northwest shall provide such services utilizing Northwest’s owned and/or leased premises and equipment (including jetbridges) located thereon. At a Contracted Service City, Pinnacle shall be solely responsible for all of its facilities and equipment requirements, excluding jetbridges, which shall be the responsibility of Northwest. In the event Northwest exercises its right, pursuant to Section 4.02, to have a Northwest-designated contract agent perform the Ground Handling Functions in a Contracted Service City, Northwest shall be solely responsible for all facilities and equipment requirements. Northwest will determine in its sole discretion whether a jetbridge will be used at all Service Cities.

Service Cities. At Midwest Service Cities, Midwest shall provide SkyWest with the Ground Handling Functions pursuant to Section 4.02, above, utilizing Midwest’s owned and/or leased premises and equipment (including jetbridges where applicable) located thereon. At SkyWest Service Cities, SkyWest shall be solely responsible for all of its facilities and equipment requirements; provided, however, if Midwest owns and/or leases facilities at a SkyWest Service City and elects to provide Ground Handling Functions to SkyWest pursuant to Section 4.02, Midwest shall provide such services utilizing Midwest’s owned and/or leased premises and equipment (including jetbridges where applicable) located thereon. Delta shall cooperate with Pinnacle’s and Mesaba’s efforts to become a signatory carrier at such airports; provided, however, that if Pinnacle becomes a signatory carrier at any such airport Pinnacle and Mesaba shall vote as directed by Delta on any matters submitted to the signatory carriers for a vote. At Pinnacle Service Cities, Pinnacle and Mesaba shall be solely responsible for all of its facilities and equipment requirements, excluding jetbridges, which shall be the responsibility of Delta; provided, however, if Delta owns and/or leases facilities at a Pinnacle Service City and elects to provide Ground Handling Functions to Pinnacle or Mesaba pursuant to Section 4.02, Delta shall provide such services utilizing Delta’s owned and/or leased premises and equipment (including jetbridges) located thereon. Service Cities. At Complementary Service Cities, Northwest shall provide Pinnacle with the Ground Handling Functions pursuant to SECTION 4.02 hereof, utilizing Northwest's owned and/or leased premises and equipment (including jetbridges) located thereon. Northwest shall cooperate with Pinnacle's efforts to become a signatory carrier at such airports; provided, however, that if Pinnacle becomes a signatory carrier at any such airport Pinnacle shall vote as directed by Northwest on any matters submitted to the signatory carriers for a vote. At Primary Service Cities, Pinnacle shall be solely responsible for all of its facilities requirements, including but not limited to jetbridges; provided, however, if Northwest owns and/or leases facilities at a Primary Service City and elects to provide Ground Handling Functions to Pinnacle, Northwest shall provide such services to Pinnacle pursuant to SECTION 4.02 hereof, utilizing Northwest's owned and/or leased premises and equipment (including jetbridges) located thereon. Northwest will determine in its sole discretion whether a jetbridge will be used at a Primary Service City.
Service Cities. Delta shall cooperate with Pinnacle’s efforts to become a signatory carrier at any Service City; provided, however, that if Pinnacle becomes a signatory carrier at any such airport Pinnacle shall vote as directed by Delta on any matters submitted to the signatory carriers for a vote. At MEM (so long as Pinnacle has not elected to cease providing Ground Handling Functions at MEM in accordance with Section 4.02), Pinnacle shall be solely responsible for all of its facilities and equipment requirements, excluding jetbridges, which shall be the responsibility of Delta. At all Service Cities other than MEM, Delta shall be solely responsible for procuring all facilities and equipment requirements. Delta will determine in its sole discretion whether a jetbridge will be used at any Service City.

  • Transitional Services Seller shall provide to Buyer, with respect to each Specified Business, upon written request from Buyer received by Seller no later than 30 days prior to the Closing Date, such services as may be reasonably requested by Buyer in connection with the operation of such Specified Business for a commercially reasonable transition period following the Closing to allow for conversion of existing or replacement services, in each case to the extent and only to the extent Seller or its Affiliates retains the Assets and employees necessary to allow the provision of such services (“Transitional Services”). In addition, between the date hereof and the Closing, Seller shall use commercially reasonable efforts to cooperate with Buyer to assist Buyer in developing and implementing a plan of transition. Buyer shall promptly reimburse Seller for the reasonable out-of-pocket costs and any incremental costs and expenses necessary to provide Transitional Services. All other terms and conditions for the provision of Transitional Services shall be reasonably satisfactory to both Buyer and Seller and subject to applicable Law.

  • Quality Service Standards/NAV Errors Price Associates and the Fund may, from time to time, agree to certain quality service standards, with respect to the Services hereunder. In the event Price Associates is the party responsible for causing an error in the computation of the net asset value for a Fund or share class of a Fund (“NAV Error”), the actions that are required to be taken as to such NAV Error shall be made in accordance with the Fund’s Net Asset Value Error Correction Policy and Procedures (“NAV Error Policy”) attached hereto as Schedule II.

  • Support Services Other than the assistance provided in the Information, the BNPP Entities do not offer any support services in connection with the Software.

  • Professional Services The Administrator shall pay the fees and expenses of the Fund incurred in connection with ordinary professional services, but only up to the limits set forth below. In the event that the fees and expenses for such services are greater than the limits set forth below, the Advisor shall pay the amounts above such limit unless the expense has been specifically assumed by the Fund per the instructions of the Trust’s Board of Trustees.

  • Ancillary Services (i) Maintain a daily record and produce a daily report for each Fund of all transactions and receipts and disbursements of money and securities (the "Supersheet") and after the close of business each Business Day deliver the Supersheet for each Fund for the prior and current Business Day (inclusive of estimates) to the Funds. The Supersheet shall include:

  • Service Coordinators Each Party has designated an employee or title as the key contact for the day-to-day implementation or monitoring of each Service as specified in the applicable Transition Service Schedule (each, a “Service Coordinator”). The Parties shall direct communications relating to specific Services to the applicable Service Coordinators. The Service Coordinators shall report to the Transition Committee from time to time, as directed by the members of the Transition Committee designated by the applicable Party.

  • PROJECT SERVICES Landlord shall furnish services as follows:

  • Standard Tenant Services Landlord shall provide the following services on all days (unless otherwise stated below) during the Lease Term.

  • Utility Services The Owner represents that, to the best of its knowledge, all utility services required to construct and operate the Project (including, without limitation, public water, sewer and electricity) are currently available to the Property in the capacities required to operate the Project. No work need be performed by or on behalf of the Developer to make such utilities available to the Property for the construction or operation of the Project, except for the matters, if any, set forth on Exhibit "D". Copies of letters from the providers of such utility services confirming such availability are annexed hereto as Exhibit "G".

  • Quality Service Standards Price Services and the Fund may from time to time agree to certain quality service standards, as well as incentives and penalties with respect to Price Services’ Services hereunder.
