SERVICE PRICING STRUCTURE. A. The Company will adhere to the NDS established nationwide service pricing structure set forth in Exhibit 9.1A as amended from time to time by NWIP. The Company will have an opportunity to participate in and contribute to discussions regarding modifications to the existing specific pricing structures or introduction of new or replacement specific pricing structures, but final decisions relating to such pricing structures will be made by NWIP, in its sole discretion. Subject to the Company's rights to participate in the relevant pricing structure decision making process described in the preceding sentence, NWIP or the NDS may revise its service pricing structure at any time in its sole discretion. The Company is required to implement in the Territory pricing structures that NWIP or the NDS have generally implemented in Comparable Service Areas or Comparable Sections. The Company will be required to implement any pricing structure that is implemented by the NDS on a national level. Pricing structure for purposes of this Section 9.1 does not include determination of the rates left to the Company's discretion under Section 9.2. Notwithstanding anything to the contrary in this paragraph, the Company's obligation under this Section 9.1A to implement any service pricing structure (not set forth on Exhibit 9.1A on the date hereof) is subject to Section 7.04 of the Shareholders' Agreement, provided that the Company's obligation to implement any service pricing structure and Nextel's obligation to comply with such Section 7.04 terminates when no member of the Nextel Group owns an equity interest in the Company.

  • Master Feeder Structure If permitted by the 1940 Act, the Board of Trustees, by vote of a majority of the Trustees, and without a Shareholder vote, may cause the Trust or any one or more Series to convert to a master feeder structure (a structure in which a feeder fund invests all of its assets in a master fund, rather than making investments in securities directly) and thereby cause existing Series of the Trust to either become feeders in a master fund, or to become master funds in which other funds are feeders.

  • Agreement Structure 2.1 This Agreement consists of: (i) the Base Agreement which defines the basic terms and conditions of the relationship between the parties; and (ii) Attachments which specify the details of a specific work task. An Attachment may include additional or differing terms and conditions, however such terms and conditions apply only to that Attachment.   • SERVICE LEVEL DESCRIPTION The Fund Accounting Agreement is hereby amended by deleting the Service Level Description attached thereto and replacing it in its entirety with the Service Level Description attached hereto.

  • External Hosting Facilities Transfer Agent shall implement controls, consistent with applicable prevailing industry practices and standards, regarding the collection, use, storage and/or disclosure of Fund Data by an external hosting provider.

  • Service Description The Transfer Agent updates the System daily to reflect each day's business activity. The Fund relies upon the timely update of information in order to respond to investor's inquiries. The Transfer Agent will provide Dreyfus with a System report indicating the time of day that files were updated and available for Dreyfus. The timeliness of availability of these screens with updated information will determine the Transfer Agent's level of performance.

  • Service Levels (1) DTI shall perform the Services in accordance with the service levels (the "Service Levels") as may be agreed to from time to time in writing by DTI and the Funds (the "Service Level Agreement"). Failure to perform in a manner which equals or exceeds the Service Levels shall result in fee credits ("Fee Credits") or the Funds' right to terminate this Agreement, as set forth in the Service Level Agreement.
