Service Provider Agreement. The Purchaser shall have executed and delivered to the Company the Service Provider Agreement reflecting substantially the terms listed on Exhibit C to this Agreement.

Service Provider Agreement. Landlord and Tenant are also parties to that certain Service Provider Agreement dated August 1, 2007, and agree that: (i) the “Meet-Me Room Sublease” as that term is used in such Service Provider Agreement shall mean the Lease; (ii) the phrase “the expiration or earlier termination of the Meet-Me Room Sublease” in clause (i)(A) of Section 4.1 thereof, is intended to and shall include any renewal or extension of the Lease Term, including the extension for the Second Extended Term as provided for in this Amendment; (iii) the “Service Provider Main Lease” as that term is used in such Service Provider Agreement shall mean the CRG Direct Lease; and (iv) the phrase “the expiration or earlier termination of the Service Provider Main Lease” in clause (ii) of Section 4.1 thereof, is intended to and shall include any renewal or extension of the lease term of the CRG Direct Lease, including the seven (7) year lease extension provided for in the CRG Direct Lease Seventh Amendment.
Service Provider Agreement. This Agreement supplements any other agreement between Customer and Service Provider. In case of any conflict between this Agreement and such other agreement with respect to the provision of the Services, the terms of this Agreement shall control.
Service Provider Agreement. A waiver of any breach or provision of this Agreement shall only be effective if it is made in writing and signed on behalf of the Party who is waiving the breach or provision.
Service Provider Agreement. As of the Closing Date, the Service Provider Agreement will be in full force and effect.
Service Provider Agreement. If at the time of such termination Sanofi or its Affiliates are party to an agreement with a Service Provider solely related to any Terminated Product in the Terminated Territory, then Sanofi will, and will cause its Affiliates to, upon Novavax’s election, use good faith efforts to assign to Novavax or its designee Sanofi’s or such Affiliate’s rights and obligations under such agreement and that solely relate to such Terminated Product in the Terminated Territory.
Service Provider Agreement. Subject to the terms and conditions of this Agreement, Cisco and the Borrower will terminate the Original Service Provider Agreement, and will enter into a Service Provider Letter Agreement in the form attached hereto as Exhibit G (the “New Service Provider Agreement”).
Service Provider Agreement. The Customer may terminate the Agreement by giving at least ninety (90) days’ notice to the Supplier through MyTimico with a copy by email to xxxxxxxxxxxx@xxxxxx.xx.xx provided that such notice is given in accordance with any applicable Supplier cancellation policy.
