Second Extended Term definition

Second Extended Term means the period of time commencing from and after (but not including) the First Extended Term until October __, 2017.
Second Extended Term. If $400,000 cumulatively has been paid to Producer during the Initial, First and Second Extended Term, then Distributor may extend the term for another two years (the Third Extended Term).
Second Extended Term. Is defined in Article 45.3 hereof.

  • Annual Volume Commitment (“AVC”): $60,000.00 in Total Service Charges (“AVC”) during each contract year of the Term, Extension Term and Second Extended Term.

  • With respect to the First Extended Term and Second Extended Term, upon request from Grantee, Owner shall execute, in recordable form, and Grantee may then record, a memorandum evidencing the First Extended Term and Second Extended Term, as applicable; provided that the execution of such memorandum is not necessary for such First Extended Term or Second Extended Term to be effective.

The term "Lease Year" means each twelve (12) month period during the Term commencing on January 1 and ending on December 31, except the first Lease Year of each Lease shall be the period from the Commencement Date through the following December 31, and the last Lease Year shall end on the date of termination of the Lease if a day other than December 31. Landlord may terminate this Lease prior to the expiration of the Term hereof, at any time following the date which is five (5) years from the date hereof, upon written notice to Tenant not less than eighteen (18) months prior to the effective date of such termination.

Second Extended Term. (hereinafter defined) (i) there exists no “Event of Default” (defined in Section 15.1 of the Lease) and there have been no more than three (3) Event of Default occurrences during the Term (ii) the Lease is still in full force and effect, and (iii) Tenant has neither assigned the Lease nor is then subletting more than twenty five percent (25%) of the Rentable Floor area of the Premises (except for an assignment or subletting permitted without Landlord's consent under Section 12.5 of the Lease), Tenant shall have the right to extend the Term of the Lease upon all the same terms, conditions, covenants and agreements contained in the Lease (except for the Annual Fixed Rent which shall be adjusted during the option period as hereinbelow set forth and except that there shall be no further option to extend) for one (1) period of five (5) years as hereinafter set forth. Promptly after Landlord's receipt of the Exercise Notice, Landlord shall provide Landlord's quotation to Tenant of a proposed annual rent for the Second Extended Term (“Landlord's Rent Quotation”). If at the expiration of thirty (30) days after the date when Landlord provides such quotation to Tenant (the “Negotiation Period”), Landlord and Tenant have not reached agreement on a determination of an annual rental for the Second Extended Term and executed a written instrument extending the Term of the Lease for the Second Extended Term pursuant to such agreement, then Tenant shall have the right, for thirty (30) days following the expiration of the Negotiation Period, to make a request to Landlord for a broker determination (the “Broker Determination”) of the Prevailing Market Rent (as defined in Exhibit E for the Second Extended Term, which Broker Determination shall be made in the manner set forth in Exhibit E.
