Service Provider’s Employees. AGENTS - SERVICE PROVIDER shall comply with the existing laws of the country and adhere to the Safety Code [Clause 10.1 to 10.19] as exhibited under Exhibit B failing which IIMC shall have the right to reject or remove any employee or Agent from providing the Services or to refuse any such employee or Agent access to IIMC premises. (a) SERVICE PROVIDER shall conduct, to the extent permitted under applicable law, a background check as envisaged under Exhibit A (b) SERVICE PROVIDER warrants and shall ensure that any employee or Agent who performs any Services has executed a form of confidentiality/non-disclosure and invention assignment agreement, and which allow SERVICE PROVIDER to grant the assignments in Section 6.

Service Provider’s Employees. (a) Each Service Provider shall be responsible for selecting and supervising in good faith the Personnel who will perform any particular Service and performing all administrative support with respect to such Personnel, including maintaining and adjusting the compensation structure and the workload balancing of such Personnel. Each Service Provider shall be responsible for ensuring that the Personnel it selects to perform Services hereunder have all requisite licenses and qualifications required to render such Services. (b) No provision of this Agreement is intended or shall be deemed to have the effect of placing the management or policies of any Service Recipient under the control or direction of any Service Provider, or vice versa, including the management of any Personnel of any Service Provider.
Service Provider’s Employees. (a) With respect to Services provided directly by a Service Provider to a Service Recipient (as opposed to Services provided directly by or through a Third-Party Provider), each Service Provider shall be responsible for selecting and supervising in good faith the Personnel who will perform any particular Service and performing all administrative support with respect to such Personnel. Each Service Provider shall be responsible for ensuring that the Personnel it selects to perform Services hereunder have all requisite licenses and qualifications required to render such Services. Service Provider’s Employees. Subject to Section 2.6, the Service Provider shall be responsible for selecting and supervising in good faith the Personnel who will perform any particular element or sub-element of the Transition Service and performing all administrative support with respect to such Personnel, including establishing compensation structure and workload balancing.
Service Provider’s Employees. 2.1 The Service Provider shall ensure that access to the Personal Data is limited to: (a) those employees who have been appropriately trained in Data Protection and who need access to the Personal Data and Special Category Personal Data to meet the Service Provider's obligations under this Agreement; and (b) in the case of any access by any employee, such part or parts of the Personal Data and Special Category Personal Data as is strictly necessary for performance of that employee's duties. 2.2 The Service Provider shall ensure that all employees: (a) Are informed of the confidential nature of the Personal Data; (b) Have undertaken training in the laws relating to handling personal data; and (c) Are aware both of the Service Provider's duties and their personal duties and obligations under such laws and this Agreement. 2.3 The Service Provider shall take reasonable steps to ensure the reliability of any of the Service Provider's employees who have access to the Personal Data.
Service Provider’s Employees. Service Provider shall be solely responsible for payment of compensation to Service Provider’s employees and for any injury to them in the course of their employment. Service Provider shall assume full responsibility for payment of all federal, state and local taxes or contributions imposed or required under unemployment insurance, social security and income tax laws with respect to such persons. ViroPharma has no power to supervise, give directions or otherwise regulate the operations of Service Provider or its employees.

(b) No Party shall be obligated to (i) hire or cause any Service Provider to hire any additional employees, maintain the employment of any specific employee, or acquire additional equipment, software or other resources to provide the Services or (ii) retain, replace or increase the number of employees or Service Providers engaged in performing, or otherwise used in connection with the delivery of the Services; provided that in each case, failure to take the actions in clauses (i) and (ii) does not result in a breach of the standard of performance set forth in Section 2.5. (c) No provision of this Agreement is intended or shall be deemed to have the effect of placing the management or policies of any Service Recipient under the control or direction of any Service Provider, or vice versa, including the management of any Personnel of any Service Provider.
Service Provider’s Employees. Service Provider shall comply with all immigration laws, rules, and regulations (collectively, the “Immigration Laws”), and warrants that all its employs are properly licensed, authorized to work in the United States, and possess the requisite knowledge, skills, and capability to perform the Services. Service Provider represents and warrants that it shall not employ or contract with an undocumented worker to provide Services under this Agreement and agrees to indemnify and hold PROS and PROS’ Client harmless from any damages that may occur, in whole or in part, from any violation of this paragraph. PROS may require Service Provider to produce background investigations on its employees in a form acceptable to PROS.
Service Provider’s Employees. 3.1 The Service Provider shall ensure that access to the Personal Data is limited to: a. those employees who need access to the Personal Data to meet the Service Provider's obligations under this Agreement; and b. in the case of any access by any employee, such part or parts of the Personal Data as is strictly necessary for performance of that employee's duties. 3.2 The Service Provider shall take reasonable steps to ensure the reliability of any of the Service Provider 's employees who have access to the Personal Data and shall ensure that all employees who have access to and/or process Personal Data are obliged to keep the Personal Data confidential.
