Settlement of Trust. The Settlor has paid the Settled Amount to the Initial Trustee and the Initial Trustee has accepted the Settled Amount for the purpose of creating and settling the Trust and the Settlor has been issued one hundred initial Trust Units in the Trust to the Initial Trustee which have been transferred to the Trustee.

The Company has appointed the Debenture Trustee as trustee for the Debenture Holders and the Company hereby settles in trust with the Debenture Trustee, a sum of Rs. 1,000/- (Rupees One Thousand only). The Debenture Trustee hereby confirms receipt of and accepts the above amount of Rs. 1,000/- (Rupees One Thousand only) in trust hereby declared and hereby agrees to act in a fiduciary capacity as trustee for the sole and exclusive benefit of the Debenture Holder(s) and its transferees and assignees from time to time, in accordance with the terms and conditions of this Deed. The Debenture Trustee acknowledges that the Debenture Holder(s) have agreed to subscribe to the Debentures inter alia on this basis. The Debenture Trustee in such capacity as a trustee agrees:
Settlement of Trust. (a) The Settlor hereby establishes, pursuant to the provisions of this Agreement and the laws of the state of New York, a grantor trust to be known as the “J&A Alliance Trust.”

Settlement of Trust. (d) The Issuer hereby settles upon trust the sum of INR 1,000 (the “Initial Contribution”) and the Trustee hereby confirms receipt of and accepts the Initial Contribution.
Settlement of Trust. 2.3.1 At the request of the Issuer, Axis Trustee Services Limited has agreed to act as the Debenture Trustee for the Debenture Holders in respect of the Debentures on the terms and conditions set out in this Deed and for the remuneration set out in the offer letter dated July 14, 2021.
Settlement of Trust. The Trustee acknowledges that he is holding, and shall continue to hold, the Trust Fund upon the trusts and subject to the powers and provisions contained in this Deed until the Termination Date.
