Showrooms and in Store Shops. (a) Licensee shall display the Licensed Products for sale in separate showrooms for each of mens footwear, womens footwear and childrens footwear, designed and displayed in accordance with Licensor's specifications, apart from any showroom(s) in which Licensee or another business may offer other than Licensed Products for sale. Subject to prior approval by Licensor, Licensee may display the Trademark on showroom doors and office directories; (b) Licensor reserves the right to designate the location of Licensee's primary showroom required by Paragraph 2.7 (a) above and in satisfaction of the foregoing, Licensee agrees to sublease (the "Sublease") a portion of the premises at 00 Xxxx 00xx Xxxxxx, Xxx Xxxx, Xxx Xxxx to house the aforementioned showroom and offices. Among other provisions, the Sublease shall contain (i) a cross default provision with this Agreement and (ii) a monthly rent equal to Licensee's pro rata portion of Licensor's rent (including common area charges and additional rent). Upon reasonable notice, Licensee shall be permitted to inspect Licensor's expense records in connection with such showroom and offices; and (c) Licensee will, at Licensor's option, participate in any in-store shop or main floor fixturing program with any of Licensee's customers. To that end, to the extent that the same is not paid for by Licensee's customers or Licensor pursuant to the following sentence, Licensee shall pay for the necessary fixturing for the display of the Licensed Products which shall be in keeping with the specifications and design of the respective shop or main floor fixtures. In connection with the fixturing associated with mens footwear, Licensor shall contribute the first $_______________ toward the in-store shop program during the First and Second Annual Periods, which contribution shall be applied to the cost of the design and installation of the shop fixtures. To the extent that Licensor contributes more than $_______________ toward the in-store shop program for the fixturing associated with mens footwear during the First and Second Annual Periods, Licensee shall add an amount equal to such excess to its advertising obligations set forth in Article 7 ("Excess Advertising Payment"). The Excess Advertising Payments shall be in addition to, and not in lieu of any other advertising obligations of Licensee hereunder, and shall be due and payable to Licensor within thirty (30) days of the excess contribution by Licensor.   • Sleeping Rooms to be Blocked A. The Contractor shall block sleeping rooms as set forth in Table 1, below. Date1 3 3 Date2 104 104 Total Rooms to be Blocked: 211 211 B. The Contractor will provide the Judicial Council with a current Delegate List/Report, after the Cut Off Date and before Date 1 of the Program, as identified in Exhibit B. The Judicial Council will then provide to the Contractor in writing an approved Master Account Approval List. The Contractor shall not bill the Judicial Council for Attendee reservations not included on the Master Account Approval List. Unless expressly set forth otherwise, any Individual Charges are the responsibility of the Attendee occupying the room. C. At the request of the Judicial Council, the Contractor shall block additional sleeping rooms for Attendees at the sleeping room rate specified above in this exhibit, provided that the additional sleeping rooms are available for rental during the Dates of the Program, at the time of the request. D. The Contractor shall provide the Judicial Council with a credit to the Master Account equal to the value of one (1) double occupancy sleeping room for each fifty (50) paid room nights during the Program:

  • International Shopping Goods estimated to cost less than $100,000 equivalent per contract may be procured under contracts awarded on the basis of international shopping procedures in accordance with the provisions of paragraphs 3.5 and 3.6 of the Guidelines.

  • National Shopping Goods estimated to cost less than $50,000 equivalent per contract, may be procured under contracts awarded on the basis of national shopping procedures in accordance with the provisions of paragraphs 3.5 and 3.6 of the Guidelines.

  • Recreation Recreation rooms shall be supplied. Smokes and soft drinks shall be available. Outside walls of the above to be completely closed-in cold weather. Sidewalk to be provided between the living quarters, from living quarters to dining rooms and recreation rooms. The above to be Standards for Stationary or Permanent type camps. In the initial construction of the above, the camp construction workers in areas where there are no hotel accommodations, shall construct such housing as is necessary for them (this is not a tent). When bunkhouses are built to the degree that they can be occupied, the camp construction workers shall move into such quarters and their original buildings shall be disposed of or not used for lodging from time to time.

  • Employee Facilities Employee Facilities. Restrooms and attendant facilities shall be provided as required in the orders and regulations of the State of Washington Department of Labor and Industries. A good faith effort will be made by the Employer to provide facilities for employees’ personal belongings.

  • No Shopping None of Seller, its partners or any agent or ----------- representative of any of them will, during the period commencing on the date of this Agreement and ending with the earlier to occur of the Closing or the termination of this Agreement, directly or indirectly (a) solicit or initiate the submission of proposals or offers from any Person for, (b) participate in any discussions pertaining to or (c) furnish any information to any Person other than Buyer relating to, any direct or indirect acquisition or purchase of all or any portion of the Assets.

  • Shopping Goods and works estimated to cost less than $100,000 equivalent per contract may be procured under contracts awarded on the basis of Shopping.

  • Furniture Misuse of University property, including possession of common area furniture in on-campus housing is prohibited and may result in a replacement charge and/or return of the property.

  • Amenities Amenities shall be prescribed as provided in Appendix F of this Agreement.

  • UNIFORMS AND EQUIPMENT Section 1. Sworn employees of the Sheriff’s Office who are assigned to positions requiring a uniform shall receive Agency-provided uniforms and accessories in accordance with Agency policy at no cost to the employee. Uniforms worn out through normal use shall be replaced by the Sheriff’s Office as determined and approved by the supply staff. Section 2. Employees shall be permitted to purchase additional approved uniform pieces, excluding badges, from the Purchasing and Materials Division, provided sufficient quantities are on hand to cover the normal, required provision of uniforms to employees as per Section 1 above. Employees must pay for these items at the time of purchase or order. Section 3. Employees assigned to uniformed positions shall be eligible to receive a uniform maintenance allowance in the amount of $150 per year provided the employee spent at least 182 days of the calendar year in a uniform assignment. This allowance will be paid to all eligible employees in the last paycheck of the calendar year each December during the term of this Agreement. Section 4. The Sheriff’s Office shall issue body armor to employees and replace same in accordance with General Order 5-1. Section 5. In the event an employee leaves the employ of the Sheriff’s Office, he shall return to the Sheriff’s Office all equipment, uniforms and accessories, including those personally purchased by the employee in accordance with Section 2 above. Section 6. Employees whose prescription eyeglasses, contact lenses, hearing aids or watches are lost, damaged, or destroyed in the line of duty, except in cases where employee negligence caused or contributed to same, will be reimbursed for repair or replacement subject to the criteria detailed below. The Sheriff’s Office shall not reimburse for any other personal property lost, damaged or destroyed in the line of duty. The maximum reimbursement for prescription eyeglasses or hearing aids is the actual cost to repair or replace the item or $150, whichever is less. The maximum reimbursement for contact lenses or watches is the actual cost to repair or replace the item or $50, whichever is less. Requests for reimbursement for the personal property shall be made in writing to the employee’s immediate supervisor during the work shift in which the article of personal property was lost, damaged or destroyed. Except in cases of loss or when an item is repairable, the item for which reimbursement is sought should be turned in along with the written request for reimbursement. To aid in establishing the amount to be reimbursed, the employee will be required to provide to the Sheriff’s Office the receipt for the repair or replacement prior to reimbursement which must be approved by the Sheriff or his designee.
