Situs. The place of this contract, its situs and forum, shall be North Carolina, where all matters, whether sounding in contract or tort, relating to its validity, construction, interpretation and enforcement shall be determined.
Situs. This Agreement and the rights and obligations of the parties hereto shall be governed by and construed in accordance with the laws of the State of Texas, without regard to the conflict of laws provisions thereof.

The Trust shall be administered such that throughout each taxation year it is resident in Canada for purposes of the Income Tax Act (Canada) determined without reference to s. 94 of that Act.
Situs. This MOA shall be governed by the laws of North Carolina and any claim for breach or enforcement shall be filed in State Court in Wake County, North Carolina.
Situs. The arbitration hearing shall be held in New York, New York unless otherwise mutually agreed to in writing.
