Slots and Route Authorities. At the request of United made during the Term or upon termination of this Agreement, Contractor shall use its commercially reasonable efforts to transfer to United or its designee, to the extent permitted by law, any airport takeoff or landing slots, route authorities or other similar regulatory authorizations transferred to Contractor by United for use in connection with Scheduled Flights, or held by Contractor and used for Scheduled Flights, in consideration of the payment to Contractor of the net book value, if any, of such slot, authority or authorization on Contractor’s books. Contractor’s obligations pursuant to the immediately preceding sentence shall survive the termination of this Agreement for so long as any transfer requested pursuant to this Section 4.13 shall not have been completed. Contractor hereby agrees that all of Contractor’s contacts or communications with any applicable regulatory authority concerning any airport takeoff or landing slots, route authorities or other similar regulatory authorizations used for Scheduled Flights will be coordinated through United. If any airport takeoff or landing slot, route authority or other similar regulatory authorization transferred to Contractor by United for use in connection with Scheduled Flights, or held by Contractor and used for Scheduled Flights is withdrawn or otherwise forfeited as a result of Controllable Cancellations or any other reason within Contractor’s reasonable control, then Contractor agrees to pay to United promptly upon demand an amount equal to the fair market value of such withdrawn or forfeited slot, authority or authorization.

Slots and Route Authorities. During the Term of this Agreement (including any renewal terms) or upon the expiration or termination of this Agreement, Delta may, in its sole discretion, require Operator to transfer to Delta or its designee at no charge any airport takeoff or landing slots, route authorities or other regulatory authorities as Delta shall designate which were obtained and have been or are being used for Delta Connection Flights under this Agreement, provided that Operator shall not be required to acquire any airport takeoff or landing slot, route authority or other regulatory authority without the acquisition cost paid by Operator, if any, being treated as a Pass Through Costs under this Agreement.

Slots and Route Authorities. Contractor and Continental agree and acknowledge that each airport takeoff or landing slot, route authority or other similar regulatory authorization (each, a “Slot or Route Authorization”) held by Contractor and used for Scheduled Flights or any other flights conducted by or on behalf of Continental is held for the benefit and on behalf of Continental. In that regard, at the request of Continental made at any time and from time to time, including upon termination of this Agreement, Contractor shall use its commercially reasonable efforts to transfer to Continental or its designee, to the extent permitted by law, any Slot or Route Authorization held by Contractor and used for Scheduled Flights or any other flights conducted by or on behalf of Continental, in consideration of the payment to Contractor of the net book value, if any, of such Slot or Route Authorization on Contractor’s books; provided, that for the purposes of this Section 4.09, the net book value shall not exceed the actual out of pocket consideration paid by Contractor for such Slot or Route Authorization. Contractor’s obligations pursuant to the immediately preceding sentence shall survive the termination of this Agreement for so long as any transfer requested pursuant to this Section 4.09 shall not have been completed. Contractor hereby agrees that all of Contractor’s contacts or communications with any applicable regulatory authority concerning any Slot or Route Authorization used for Scheduled Flights will be coordinated through Continental. If any Slot or Route Authorization held by Contractor and used for Scheduled Flights or any other flights conducted by or on behalf of Continental is withdrawn or otherwise forfeited as a result of (i) Controllable Cancellations or any other reason within Contractor’s reasonable control, then Contractor agrees to pay to Continental promptly upon demand an amount equal to the market value of such withdrawn or forfeited Slot or Route Authorization or (ii) any action or inaction by Continental, then Continental agrees to pay to Contractor promptly upon demand an amount equal to the net book value of such withdrawn or forfeited Slot or Route Authorization on Contractor’s books; provided, that for the purposes of this Section 4.09, the net book value shall not exceed the actual out of pocket consideration paid by Contractor for such Slot or Route Authorization.

Slots and Route Authorities. If Delta schedules an Operator to operate a Delta Connection Flight to a location for which such Operator requires an airport takeoff or landing slot or route authority, Delta will either (i) provide such airport takeoff or landing slot or route authority to such Operator or instruct such Operator to obtain such airport takeoff or landing slot or route authority and Delta shall reimburse such Operator for any reasonable out-of-pocket costs and expenses incurred by such Operator in obtaining such airport takeoff or landing slot or route authority. During the Term or upon the expiration or termination of this Agreement, Delta may, in its sole discretion, require the applicable Operator to transfer to Delta or its designee at no charge any airport takeoff or landing slots, route authorities or other regulatory authorities as Delta shall designate which have been or are being used for Regional Airlines Services under this Agreement, provided that Operator does not require such airport takeoff or landing slot, route authority or other regulatory authority for the provision of Regional Airline Services pursuant to this Agreement. If an Operator is operating Regional Airline Services at a Service City pursuant to the DOT’s Essential Air Service (“EAS”) program on behalf of Delta, upon the expiration or termination of this Agreement, Delta will obtain another operator to provide air service to such city and the parties will cooperate in good faith to transfer the EAS designation and air service responsibility to the new operator.
Slots and Route Authorities. Should Frontier schedule Covered Aircraft on international routes, Frontier will provide RAI notice of such intent no fewer than 150 days in advance of the intended start date. To the extent permitted under applicable laws and regulations, Frontier will obtain the necessary slots, route authorities or other approval required for such service at its own cost and expense, provided such items may be held and controlled by Frontier. If it is required that RAI, as the operator of the Scheduled Flights, obtain the authorities and approvals, or if Frontier is prohibited from holding such authorities and approvals in its own name, RAI will use its commercially reasonable efforts to obtain all necessary licenses, permits, route authorities or slots and complete all necessary filings and registrations, all at RAI’s sole cost and expense, in order to initiate such service. During the Term, RAI will operate Scheduled Flights on these routes solely on behalf of Frontier. At the request of Frontier made during the Term or upon termination of this Agreement, so long as Frontier is not in breach of a material obligation under this Agreement, RAI shall use its commercially reasonable efforts to transfer to Frontier or its designee, to the extent permitted by law, any airport takeoff or landing slots, route authorities or other similar regulatory authorizations held by RAI in connection with Scheduled Flights, or held or acquired by RAI and used for Scheduled Flights, in consideration of the payment to RAI of the reasonable, documented out of pocket expenses incurred by RAI in order to obtain such transferred rights, authorities and slots. Frontier will be responsible for all costs and expenses relating to such assignment, including without limitation reasonable attorneys’ fees. RAI's obligations herein shall survive the termination of this Agreement for so long as any transfer requested pursuant to this Section 4.08 shall not have been completed. RAI hereby agrees that all of RAI's contacts or communications with any applicable regulatory authority concerning any airport takeoff or landing slots, route authorities or other similar regulatory authorizations used for Scheduled Flights will be coordinated through Frontier. If any airport takeoff or landing slot, route authority or other similar regulatory authorization transferred to RAI by Frontier for use in connection with Scheduled Flights, or held by RAI and used for Scheduled Flights, is withdrawn or otherwise forfeited...
