Sotheby’s Asia Ltd. By October 15, 2012 (or such later date as Agent may agree to in its sole discretion), (i) Sotheby’s Asia Ltd. shall become party to the Agreement as a Credit Party by executing a joinder agreement thereto, and shall execute a Guaranty and such other Collateral Documents as Agent shall reasonably request in support of the Obligations of each of the U.S. Borrowers and the U.K. Borrowers, (ii) 100% of the outstanding Stock of Sotheby’s Asia Ltd. shall be pledged to Agent, for the benefit of the Secured Parties, in support of the Obligations of each of the U.S. Borrowers and the U.K. Borrowers, pursuant to such Collateral Documents as Agent shall reasonably request and (iii) Sotheby’s Asia Ltd. shall deliver such organizational and authorization documentation and legal opinions as Agent shall reasonably request, in each case, in form and substance reasonably satisfactory to Agent.
