SPECIAL DISCOUNTS AND INCENTIVES. In consideration of Customer's execution of this Agreement, Seller shall provide the additional benefits set forth in this Subsection 1.10.1, provided that with respect to purchases for Buyer Companies (other than Buyer Companies qualifying as Affiliates of Western Wireless Corporation, as to which all provisions of this Section 1.10.1 shall apply) and for the benefit of Related Operators only the provisions of Subsections 1. 10.1 shall apply. However, Seller's obligations under this subsection are contingent upon Customer's continuing to meet the commitments set forth in Section 1.4 of this Agreement. In the event that Customer fails to meet any of such commitments, Seller may withdraw any or all of such additional benefits remaining unused immediately upon notice to Customer. However, as of the withdrawal date and for the duration of this Agreement, Customer shall retain the right to receive those standard discounts set forth in subsection (a) immediately following below.

  • Cash and Incentive Compensation (a) All payments referenced in this Agreement are subject to applicable tax withholdings and authorized or required deductions.

  • Special Bonus In addition to the Annual Base Salary and Annual Bonus payable as hereinabove provided, if the Executive remains employed with the Company or its affiliated companies through the first anniversary of the Effective Date, the Company shall pay to the Executive a special bonus (the "Special Bonus") in recognition of the Executive's services during the crucial one-year transition period following the Change of Control in cash equal to the sum of (A) the Executive's Annual Base Salary and (B) the Highest Annual Bonus. The Special Bonus shall be paid no later than 30 days following the first anniversary of the Effective Date.
