Special Operation and Possession Covenants. In addition to the foregoing requirements, Sublessee covenants and agrees as follows: Sub-subleasing Sublessee shall not enter into any sub-sublease (other than a Wet Lease) of any duration with respect to any Aircraft (including any Airframe and the Engines or engines installed thereon) with any Person without the prior written consent of Lessee and Ex-Im Bank (such consent may be withheld in its sole discretion). In the event that Lessee shall grant its consent to any such sub-sublease, such sub- sublease shall be subject to the following conditions and requirements: any such sub-sublease shall be made expressly subject and subordinate to all the terms of this Sublease and the other Operative Documents, and shall not affect the priority or perfection of the Lien of the Security Documents or the right of Head Lessor, Lessee or the Security Trustee to avoid such sub-sublease and to repossess the relevant Aircraft, Airframe or Engines in connection with the exercise of any remedies upon any Event of Default; Sublessee shall remain primarily liable hereunder for the performance of all terms and conditions of this Sublease to the same extent as if such sub-sublease had not occurred; all terms and conditions of this Sublease and the other Operative Documents shall remain in full force and effect; prior to entering into any such sub-sublease, Sublessee shall provide to Lessee, Head Lessor and the Secured Parties certificates of insurance and reinsurance and brokers’ undertakings from Sublessee’s (or such sub-sublessee’s) insurance and reinsurance brokers or an authorized representative of Sublessee’s (or such sub-sublessee’s) insurers and reinsurers reflecting that the Insurances and Reinsurances required to be maintained pursuant to Section 10 (Insurance) are in full force and will not be adversely affected due to the sub-sublease; such sub-sublease shall (A) provide that the Aircraft, Airframe, Engines and Parts be maintained in accordance with the Approved Maintenance Program or equivalent approved
