Spinco Responsibility and Rights. Spinco may perform any responsibility or exercise any right under this Agreement by causing such responsibility or right to be undertaken or exercised by a Spinco Subsidiary, provided, however, that Spinco shall be fully responsible to Alltel for ensuring compliance by Spinco, any Spinco Subsidiary and the Spinco Group with the applicable terms of this Agreement.
