Status of the secondee. 4.1. During the secondment, the secondee will remain an employee of the firm under the terms and conditions of employment of the firm. The secondee will at no time during the secondment be an employee of the APA or TSol. Nothing in this agreement shall create or be construed as creating any relationship of employer and employee between the APA or HMT or TSol and the secondee.

Status of the secondee. During the secondment, the secondee will remain an employee of the Solicitor under the terms and conditions of employment of the Solicitor. The secondee will at no time during the secondment be an employee of the Client. Nothing in this agreement shall create or be construed as creating any relationship of employer and employee between the Client and the secondee. The secondee shall carry out all reasonable instructions given by the Client during the secondment. Notwithstanding paragraph 4.1 above, the secondee will be bound by the Client’s general requirements of its own employees concerning their conduct. These requirements will be notified to the secondee on or prior to the start date or as they arise from time to time. In addition the secondee shall carry out their duties in a professional manner, with integrity and with a good standard of client care and of work, including the exercise of competence, skill and diligence. Without prejudice to the above, the secondee must comply at all times with the Client’s security policies and must safeguard all information which comes into his/her possession during the period of secondment in accordance with its security classification. These obligations will continue to apply to the secondee as long as the information remains confidential or otherwise sensitive (including after the secondment has ended). The secondee will be subject to the provisions of the Official Secrets Acts and all provisions within the contents of contract 2957-2. The secondee will have the authority to act on behalf of the Client in the day-to-day operation of his/her role. The secondee will not have any authority to enter into any contract with a third party, make any representation, give any warranty or undertaking, incur any liability, assume any obligation or otherwise exercise any power conferred on the Client and will not represent him/herself as having the same. During the secondment the Solicitor will: not terminate or agree to terminate the secondee's employment with the Solicitor without reasonable prior consultation with the Client and not act in a manner which would permit the secondee to treat himself/herself as constructively dismissed by the Solicitor; and not provide the secondee’s services to anyone else other than the Client and apart from providing services to the Client, the secondee will not undertake any business, profession, employment, consultancy, agency or be an adviser to anyone else.
