STORAGE AND CARE OF THE WORK. 5.1. Between the Effective Date and the date on which Seller packs and ships the Work for delivery to the Delivery Location (as defined in Section 8.1 below), Seller shall store the Work in fine art storage at [***] (the “Storage Location”). Seller shall not otherwise relocate the Work , unless agreed upon under separate cover. 5.2. Seller agrees to ensure an appropriate storage environment consistent with professional fine art museum and conservation standards is provided to safeguard the quality and condition of the Work and to protect the Work from water, fire, loss, damage, deterioration, theft, mishandling, dirt, vermin, insects, and from extremes of light, temperature, and humidity from the Effective Date and until the Work is delivered to the Delivery Location. Any damage to the Work must be reported immediately to Agent. As of the Effective Date, Seller will not perform any conservation or restoration on the Work without notice to Agent.

Seller shall not relocate the Work without Agent’s prior written approval. 4.2. Seller agrees to ensure an appropriate storage environment consistent with professional fine art museum and conservation standards is provided to safeguard the quality and condition of the Work and to protect the Work from water, fire, loss, damage, deterioration, theft, mishandling, dirt, vermin, insects, and from extremes of light, temperature, and humidity from the Effective Date and until the Work is delivered to the Delivery Location. Any damage to the Work must be reported immediately to Agent. Seller will not perform any conservation or restoration on the Work without the specific prior written consent of Agent.

Any damage to the Work must be reported immediately to Agent. Seller will not perform any conservation or restoration on the Work without the specific prior written consent of Agent.

(b) Seller agrees to ensure that at all times an appropriate storage environment consistent with professional fine art museum and conservation standards is provided to safeguard the quality and condition of the Work and to protect the Work from water, fire, loss, damage, deterioration, theft, mishandling, dirt, vermin, insects, and from extremes of light, temperature, and humidity from the Effective Date and until the Work is delivered to and accepted by Buyer at the Delivery Location. Any damage to the Work must be reported immediately to Buyer. Seller will not perform any conservation or restoration on the Work without the specific prior written consent of Bxxxx. (c) Seller shall arrange and pay for the Work to be insured under Seller’s blanket fine arts policy for an amount equal to the Purchase Price commencing on the Effective Date and continuing until risk of loss transfers to Buyer. Risk of loss to the Work shall transfer from Seller to Buyer upon Bxxxx’s acceptance of the Work at the Delivery Location. On the Effective Date, Seller shall provide Buyer with a certificate of insurance evidencing Seller’s insurance coverage of the Work.

BETWEEN THE EFFECTIVE DATE AND THE DATE ON WHICH SELLER PACKS AND SHIPS THE WORK FOR DELIVERY TO THE DELIVERY LOCATION, SELLER SHALL STORE THE WORK AT PREMISES LOCATED AT CHRISTIE’S, 8 XXXX XXXXXX, XX. XXXXX, XXXXXX SW1Y 6QT, UNITED KINGDOM. Seller shall obtain the consent of Agent, which shall not be unreasonably withheld or delayed, to move the Work to an appropriate storage facility within twenty (20) days of the Effective Date and Seller shall not subsequently relocate the Work without Agent’s prior written approval. 4.2. Seller agrees to ensure an appropriate storage environment consistent with professional fine art museum and conservation standards is provided to safeguard the quality and condition of the Work and to protect the Work from water, fire, loss, damage, deterioration, theft, mishandling, dirt, vermin, insects, and from extremes of light, temperature, and humidity from the Effective Date and until the Work is delivered to the Delivery Location. Any damage to the Work must be reported immediately to Agent. Seller will not perform any conservation or restoration on the Work without the specific prior written consent of Agent.

STORAGE AND CARE OF THE WORK. 4.1. Between the Effective Date and the date on which Seller receives the First Installment, the Work shall be stored at Gander & White, located at 90 Xx. Xxxxx Xxxxx, 92230 Gennevilliers, France (the “Storage Location”). Within seven (7) business days of the receipt of the First Installment, Seller shall pack the Work and finalize arrangements for delivery to Cxxxxxx Fine Arts located at 1000 Xxxxxxx Xxx, New Castle, DE 19720 (“Cxxxxxx Fine Arts”) by no later than September 15, 2021 or such other date as mutually agreed upon by the Parties, and the Work will remain in an account at Cxxxxxx Fine Arts under the name and control of Seller before the Closing Date (as defined in Section 6 below). Seller shall not relocate the Work without prior written notice to Agent. 4.2. Seller agrees to ensure that an appropriate storage environment consistent with professional fine art museum and conservation standards is provided to safeguard the quality and condition of the Work and to protect the Work from water, fire, loss, damage, deterioration, theft, mishandling, dirt, vermin, insects, and from extremes of light, temperature, and humidity from the Effective Date and until the Work is accepted by Buyer on the Closing Date. Any damage to the Work must be reported immediately to Agent. Seller will not perform any conservation or restoration on the Work without the specific prior written consent of Agent.

Between the Effective Date and the date on which Seller receives the First Installment, the Work shall be stored at Highgate Limited, located at Nx.00, Xxxx 00, Xxxx Xx Xxxx, Xxxxx Dist., Taipei 11494, Taiwan (“Storage Location”). Within five (5) business days of the receipt of the First Installment, Seller shall pack the Work and finalize arrangements for delivery to Cxxxxxx Fine Arts located at 1000 Xxxxxxx Xxx, New Castle, DE 19720 (“Cxxxxxx Fine Arts”) by no later than January 15, 2020 or such other date as mutually agreed upon by the Parties, and the Work will remain in an account at Cxxxxxx Fine Arts under the name and control of Seller before the Closing Date (as defined in Section 6 below). Seller shall not relocate the Work without Agent’s prior written approval. 4.2. Seller agrees to ensure that an appropriate storage environment consistent with professional fine art museum and conservation standards is provided to safeguard the quality and condition of the Work and to protect the Work from water, fire, loss, damage, deterioration, theft, mishandling, dirt, vermin, insects, and from extremes of light, temperature, and humidity from the Effective Date and until the Work is accepted by Buyer on the Closing Date. Any damage to the Work must be reported immediately to Agent. Seller will not perform any conservation or restoration on the Work without the specific prior written consent of Agent.
