SUB-PROCESSORS 4. 1 The Data Processor may only engage a Sub- processor, with prior specific or general written consent from the Data Controller. The Data Processor undertakes to inform the Data Controller of any intended changes concerning the addition or replacement of a Sub-processor by providing a reasonable prior written notice thirty (30) days before the replacement to the Data Controller. This notification must clearly indicate the outsourced processing activities, the identity and contact details of the Sub- processor. The Data Controller may reasonably and in a duly substantiated manner within thirty (30) days after receipt of notice object to the use of a Sub-processor. 4.2 It is the responsibility of the Data Processor to ensure that the Sub-processor provides sufficient guarantees and has implemented Appropriate Technical and Organizational Measures in order to ensure that the Processing of Personal Data will meet the requirements of the GDPR. Prior to the engagement of a Sub-processor, the Data Processor shall conclude a written agreement with the Sub-processor, in which at least the same data protection obligations as set out in this Data Processing Agreement shall be imposed on the Sub-processor, including obligations to implement Appropriate Technical and Organizational Measures and to ensure that the transfer of Personal Data is done in such a manner that the Processing will meet the requirements of the Data Protection Legislation. 4.3 The Data Controller has the right to receive a copy of the relevant provisions of Data Processor's agreement with the Sub-processor related to data protection obligations. The Data Processor shall remain fully liable to the Data Controller for the performance of the Sub- processor obligations under this Data Processing Agreement. The consent of the Data Controller to the Data Processor's use of a Sub-processor is without prejudice for the Data Processor's duty to comply with this Data Processing Agreement. 5.   • Sub-Processors 8.1. The Data Processor has outlined in the Data Pro Statement whether the Data Processor uses any third parties (sub-processors) to help it process the Personal Data, and if so, which third parties.

  • Sub-processor For the purposes of this Agreement, the term “Sub-processor” (sometimes referred to as the “Subcontractor”) means a party other than LEA or Provider, who Provider uses for data collection, analytics, storage, or other service to operate and/or improve its software, and who has access to PII.

  • Authorized Sub-processors Customer agrees that MailChimp may engage Sub- processors to process Customer Data on Customer's behalf. The Sub-processors currently engaged by MailChimp and authorized by Customer are listed in Annex A.

  • Use of sub-processors (a) The data importer has the data exporter’s general authorisation for the engagement of sub-processor(s) from an agreed list. The data importer shall specifically inform the data exporter in writing of any intended changes to that list through the addition or replacement of sub-processors at least thirty (30) days in advance, thereby giving the data exporter sufficient time to be able to object to such changes prior to the engagement of the sub-processor(s). The data importer shall provide the data exporter with the information necessary to enable the data exporter to exercise its right to object.

  • Subprocessors Provider shall enter into written agreements with all Subprocessors performing functions for the Provider in order for the Provider to provide the Services pursuant to the Service Agreement, whereby the Subprocessors agree to protect Student Data in a manner no less stringent than the terms of this DPA.

  • LIST OF SUB-PROCESSORS The controller has authorised the use of the following sub-processors:

  • Interconnection Customer’s Interconnection Facilities Construction The Interconnection Customer’s Interconnection Facilities shall be designed and constructed in accordance with Good Utility Practice. Within one hundred twenty (120) Calendar Days after the Commercial Operation Date, unless the Participating TO and Interconnection Customer agree on another mutually acceptable deadline, the Interconnection Customer shall deliver to the Participating TO and CAISO “as-built” drawings, information and documents for the Interconnection Customer’s Interconnection Facilities and the Electric Generating Unit(s), such as: a one-line diagram, a site plan showing the Large Generating Facility and the Interconnection Customer’s Interconnection Facilities, plan and elevation drawings showing the layout of the Interconnection Customer’s Interconnection Facilities, a relay functional diagram, relaying AC and DC schematic wiring diagrams and relay settings for all facilities associated with the Interconnection Customer's step-up transformers, the facilities connecting the Large Generating Facility to the step-up transformers and the Interconnection Customer’s Interconnection Facilities, and the impedances (determined by factory tests) for the associated step-up transformers and the Electric Generating Units. The Interconnection Customer shall provide the Participating TO and the CAISO specifications for the excitation system, automatic voltage regulator, Large Generating Facility control and protection settings, transformer tap settings, and communications, if applicable. Any deviations from the relay settings, machine specifications, and other specifications originally submitted by the Interconnection Customer shall be assessed by the Participating TO and the CAISO pursuant to the appropriate provisions of this LGIA and the LGIP.

  • Changes to Sub-processors 10.1 MailChimp shall (i) provide an up-to-date list of the Sub-processors it has appointed upon written request from Customer; and (ii) notify Customer (for which email shall suffice) if it adds or removes Sub-processors at least 10 days prior to any such changes.

  • Sub-processing 1. The data importer shall not subcontract any of its processing operations performed on behalf of the data exporter under the Clauses without the prior written consent of the data exporter. Where the data importer subcontracts its obligations under the Clauses, with the consent of the data exporter, it shall do so only by way of a written agreement with the sub-processor which imposes the same obligations on the sub-processor as are imposed on the data importer under the Clauses. Where the sub-processor fails to fulfil its data protection obligations under such written agreement the data importer shall remain fully liable to the data exporter for the performance of the sub-processor’s obligations under such agreement.

  • Appointment of Sub-processors Client acknowledges and agrees that (a) Data Processor’s Affiliates may be used as Sub-processors; and (b) Data Processor and/or Data Processor’s Affiliates respectively may engage third-party Sub-processors in connection with the provision of the Services.
