Consultant shall obtain Agency's written consent prior to entering into any subcontracts for any of the Services required by the WOC, or in any manner assigning, selling or transferring any of its rights or interest under the WOC or delegate any of its duties or performance under the WOC. In addition to any other provisions Agency may require, Consultant shall include, in any permitted subcontract under the WOC, contractual provisions that shall require any subcontractor (which may also be referred to as “subconsultant”) to comply with Part II Sections 5, 6, 7, 8, 9, 12, 19, and 24 of these WOC provisions and the limitations provided in Exhibit B Compensation, in the performance of the subcontractor’s Services that are the subject of the WOC, as if the subcontractor were Consultant. Agency’s consent to any subcontract shall not relieve Consultant of any of its duties or obligations under the WOC, including with respect to any Services, whether performed or to be performed by Consultant or a subcontractor. b. The provisions of the WOC shall be binding upon and shall inure to the benefit of the Parties hereto, and their respective successors and permitted assigns, if any. c.   • Binding Agreement; Successors and Assigns All covenants and agreements in this Agreement by the Issuer shall bind its successors and assigns, whether so expressed or not. All agreements of the Secured Party or the Securities Intermediary in this Agreement shall bind its successors, co-trustees and agents.
