Subleases and Assignments. LESSEE SHALL NOT, WITHOUT THE PRIOR WRITTEN CONSENT OF Lessor AND AGENT, SUBLEASE OR OTHERWISE RELINQUISH POSSESSION OF ANY UNIT, OR ASSIGN, TRANSFER OR ENCUMBER ITS RIGHTS, INTERESTS OR OBLIGATIONS HEREUNDER AND ANY ATTEMPTED SUBLEASE OR OTHER RELINQUISHMENT OF POSSESSION, ASSIGNMENT, TRANSFER OR ENCUMBERING BY LESSEE SHALL BE NULL AND VOID, except as provided in this Section 5.2 or pursuant to a transaction permitted under Section 5.4 or Section 5.19 of the Participation Agreement. Each sublease, lease or user contract entered into in accordance with this Section 5.2 shall be referred to as a "Sublease." Lessee may, without the prior written consent of Lessor and Agent, enter into subleases of (A) so long as no Lease Event of Default described in Sections 8.1(f) or (g) exists, one or more of the Units to any customer of Lessee in connection with the supply of propane by Lessee to such customer, and (B) so long as no Lease Event of Default exists, one or more of the Units to a Wholly-Owned Subsidiary of Lessee; provided, that any Sublease entered into pursuant to clause (B) of this sentence must satisfy each of the following conditions:

Subleases and Assignments. (a) Lessee may sublet the Equipment if Lessee notifies Lessor of the proposed new location of the Equipment and receives Lessor's prior written consent. No such sublease shall in any way discharge or diminish any of Lessee's obligations under this Agreement. Each sublease shall be approved in form and content by lessor (including, without limitation, any provisions granting such sublessee an option to terminate such sublease) and shall expressly provide that it is subject and subordinate to this Lease. No amendment or modification of any of the terms and conditions of such sublease shall be made without the prior written consent of Lessor. (b) This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and (to the extent specified in any assignment) assigns. Lessee shall not assign this Agreement without the prior written consent of Lessor. Lessor may assign any or all of its rights under this Agreement, and Lessee agrees to acknowledge in writing any such assignment within five (5) days after receipt of written notice thereof. (c) So long as Lessor's rights hereunder are assigned to any Assignee, Lessee may not assert against any such Assignee any defense, counterclaim, recoupment, or set- off Lessee may have against Lessor. Lessee agrees that it will not seek to cancel or terminate this Agreement (except as expressly permitted in this Agreement) or otherwise avoid its obligations hereunder as against such Assignee, and further agrees that it will pay to such Assignee all Rent Due hereunder and assigned to such Assignee, without regard to any such defense, counterclaim, recoupment, or set-off, and will not seek to recover any part of the same from such Assignee. However, nothing herein shall be construed to prevent Lessee from exercising against Lessor any claim for damages or injunctive relief which Lessee may have against Lessor. Section 18.
Subleases and Assignments. Tenant shall not assign or transfer, in whole or in part, in any manner, this Lease nor any interest therein, nor permit the foregoing Lease to become transferred by operation of law or otherwise, nor do or suffer any acts to be done whereby the same may be or become assigned in whole or in part, unless the written consent of Landlord shall first be obtained in each and every case of subletting, assignment or transfer as shall from time to time occur or be desired. It is expressly agreed by the parties that a change in ownership of the controlling share of stock in Tenant, if any, shall be deemed to be an assignment hereunder. It is expressly agreed by the Tenant that in the event permission be granted by the Landlord as herein provided, the subtenant or assignee shall be required to assume and agree to perform the covenants of this Lease and that notwithstanding any such subletting or assignment, the Tenant shall be and remain liable for the payments of all rents and the performance of all covenants and conditions for the full term of this Lease.

Authority will not be deemed to have acted unreasonably in withholding consent to any proposed assignment or sublease to an entity that: (A) has a financial net worth that, in the opinion of Authority, is inconsistent with that of Company; or (B) proposes a use different than those uses authorized in this Agreement. If transfer, sublease, assignment or delegation is approved, Company will be solely responsible for ensuring that its transferee, sublessee, assignee or delegate performs pursuant to and in compliance with the terms of this Agreement. Any assignment, mortgage, license, delegation, sublease or the like will be subject to all of the terms and conditions contained in this Agreement. In no event will any approved assignment or sublease diminish Authority’s rights to enforce any and all provisions of this Agreement. Subletting will only be permitted if the minimum Term of the subject sublease is longer than 120 days. The form of the sublease must be approved by the Authority, and such approval shall not be unreasonably withheld.
Subleases and Assignments. If Tenant Subleases all or a portion of the Premises or Assigns all or part of its interest in this Lease, and in addition to all other sums payable by Tenant to Landlord under this Lease, Tenant shall pay Landlord as Participation Rent, fifty percent (50%) of any Excess Proceeds from any such Sublease or Assignment. Any Participation Rent due under this Section in connection with a Sublease or Assignment on the date that the applicable sublease or assignment documents are executed and delivered by the parties. Tenant shall provide to Landlord not less than thirty (30) days written notice of a Sublease or Assignment, with an accounting of the Participation Rent that will become due and payable as a result of the transaction, including all backup documentation required for Landlord to verify the Participation Rent amount due and owing.
