Consent to subletting or assignment will not relieve Contractor of responsibility for the performance of its obligations in accordance with the terms and conditions of the Contract Documents and any amendments executed by both parties and Contractor shall remain primarily responsible for the Work and Contractor’s obligations under the Contract Documents.

By executing this Agreement, the City is providing its written consent to the assignment of the services by the Consultant to the subconsultants specified in the Scope of Services identified in Attachment B, and the Consultant agrees to assume all duties, obligations, and liabilities of all such subconsultants under the Agreement in carrying out the assigned services. Additionally, the Consultant acknowledges it shall cause each subconsultant to provide insurance coverage that complies with all applicable insurance requirements of the Consultant as set forth in this Agreement.

  • Prohibition Against Subcontracting or Assignment The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement.
