WORK TO BE PERFORMED. The Contractor shall do all work and furnish all labor, tools, materials, supplies and equipment for the 0000 Xxxxx Xxxxxx Head Works Roof Repair Project (“Work”) in accordance with, and as described in the plans, specifications, drawings, instructions and other documents provided by the City, as amended which are by this reference incorporated herein and made part hereof (the “Contract Documents”). To the extent applicable or reasonably necessary to interpret the Work, the most recent publication of the Standard Specifications for Road, Bridge and Municipal Construction of the Washington State Department of Transportation (see xxxx://xxx.xxxxx.xx.xxx/Publications/Manuals/M41-10.htm) is incorporated into the Contract Documents. All changes in the work shall be performed in accord with the Contract Documents, unless determined otherwise by the City. The Contractor, as set forth in the Contractor’s bid proposal attached hereto as Exhibit A (the "Bid Proposal"), shall assume and be responsible for the cost and expense of all Work provided in the and Contract Documents, except those items agreed in writing to be furnished by the City of Xxxxxx. The Mayor or designee shall administer and be the primary contact for Contractor. Prior to commencement of work, Contractor shall contact the Mayor or designee to review the Work, schedule, and time of completion. Contractor shall receive written authorization from the City to proceed with the Work. Upon notice from the Mayor or designee, Contractor shall promptly commence Work, complete the same in a timely manner, and cure any failure in performance under this Agreement. All Work shall be performed in conformance with the Contract Documents, City and State standards and Bid Proposal. Contractor acknowledges review of the Contract Documents and accepts the same. In the event of a conflict between the Contract Documents, City and State standards or Bid Proposal, they shall be interpreted and given precedence in the order listed herein.

WORK TO BE PERFORMED. Contractor shall implement the Project described in Attachment “A” hereof (the “Scope of Work”) fully in accordance with the term of the AFP approved by the City and submitted to HUD in its application for funds to carry out the Project and the certifications which were submitted concurrently with the AFP (“Certifications”). The AFP and Certifications form is hereby incorporated by reference into this contract fully as if set forth herein. Contractor shall also undertake the same obligations to the City that the City has undertaken to HUD pursuant to said AFP and Certifications. Contractor’s obligations include, but are not limited to, compliance with the current and most up-to-date version of each of the following: (a) The ESG Program contained in subtitle B of Title IV of the Xxxxxxx X. XxXxxxxx Homeless Assistance Act (42 U.S.C. 11361, et seq.) as amended; (b) The Homeless Emergency Assistance and Rapid Transition to Housing Act of 2009 (HEARTH Act); (c) HUD regulations relating to ESG Program (24 CFR Part 576), as amended; (d) HUD regulations relating to environmental review procedures for the ESG Program (24 CFR 576.57, subd. (e)); (e) Title VI of the Civil Rights Act of 1964 (42 USC § 2000d); Title VII of the Civil Rights Act of 1968 (Public Law 88-352); Title VIII of the Civil Rights Act of 1968 (Fair Housing Act, 42 USC § 3601, et seq.); § 109 of the Housing and Community Development Act of 1974; Executive Orders 11246 (equal employment opportunity) and 11063 (non-discrimination), as amended by Executive Order 12259; and any HUD regulations heretofore issued or to be issued to implement these authorities relating to civil rights; (f) Section 3 of the Housing and Community Development Act of 1974, which includes: (1) The work to be performed under this contract is subject to the requirements of section 3 of the Housing and Urban Development Act of 1968, as amended (12 U.S.C. 1701u). The purpose of section 3 is to ensure that employment and other economic opportunities generated by HUD assistance or HUD-assisted projects covered by section 3, shall, to the greatest extent feasible, be directed to low- and very low-income persons, particularly persons who are recipients of HUD assistance for housing. WORK TO BE PERFORMED. The Contractor will furnish all equipment, supplies, material and labor to provide: tourism promotion and operation of tourism related facilities, as described above and on the attached Exhibit A (hereinafter, "Scope of Work"). The City's mayor (the "Mayor") or designee shall administer and be the primary contact for Contractor.
WORK TO BE PERFORMED. 3.1.1 Owner hereby engages and is relying upon Contractor to perform the Work in accordance with Exhibit A and the other requirements of this Agreement, and Contractor acknowledges such reliance and accepts such engagement. Owner and Contractor agree that Contractor’s obligation under this Agreement is to complete the Work so that the Facility successfully passes the Performance Tests and meets or exceeds the requirements set forth in Exhibit A, Owner Standards and the other provisions of this Agreement, including achieving Facility Mechanical Completion, Facility Substantial Completion, and Final Completion within the time and for the purpose designated herein, and to do and furnish everything incidental and necessary in connection therewith. 3.1.2 Prior to the execution of this Agreement, Contractor performed engineering, cost estimating and related services and developed, provided or verified all of the information that forms the scope of Work set forth in Exhibit A for the purpose of verifying that such information is adequate for, and Contractor represents and warrants to Owner that the scope of Work set forth in Exhibit A includes all the necessary obligations, including integration, as applicable, that are required to be performed by Contractor and Owner in order for, the Facility to operate in accordance with the terms of this Agreement and to satisfy the Applicable Codes and Standards, applicable Laws, Owner Standards and Permits and successfully pass the Performance Tests and meet or exceed the requirements set forth in Exhibit A. Items need not be specifically listed herein or in Exhibit A in order to be deemed to be items within the scope of the Work. It is understood that Contractor is better qualified to list exclusions than Owner is to list inclusions. Therefore, except for the supply of Owner Furnished Equipment and Materials and performance of the Owner Scope of Work, any item indicated herein, inferable therefrom, incidental thereto or required in accordance with any Law, Permits or Applicable Codes and Standards is to be considered as part of the Work. WORK TO BE PERFORMED. A. The Remediator shall conduct a voluntary remedial action at the Site in accordance with the provisions of N.C.G.S. 130A-310.9(c), 15A NCAC 13C .0300, and the “Registered Environmental Consultant Program Implementation Guidance” of the North Carolina Division of Waste Management (the Division). The voluntary remedial action shall include the remediation of any hazardous substances as defined in G.S. 130A-310(2) and any contaminants as defined in 15A NCAC 2L that have been disposed, deposited, discarded, discharged, or abandoned at the Site. B. Within thirty-six (36) months after the execution of this Agreement, the Remediator shall complete a remedial investigation at the Site which complies with the provisions of 15A NCAC 13C .0300 including, but not limited to, .0302(f), .0302(k)- (p), .0306(c)-(h) and .0306(q). For any requirement that has already been met, the Remediator shall specify the location within the document(s) on file with the Superfund Section that show(s) that the requirement has been met. The remedial investigation shall not be considered complete until the Remediator has submitted a remedial investigation report and completion statement, both certified in accordance with .0306(b) by the REC and the Remediator. C. Within twenty-four (24) months of completion of the remedial investigation or within sixty (60) months after the execution of this Agreement, whichever is earlier, the Remediator shall initiate groundwater remedial action at the Site in compliance with the provisions of 15A NCAC 13C .0300 including, but not limited to, .0302(f), .0302(k) - (p), .0306(c) - (d) and .0306(i) - (n). For any requirement that has already been met, the Remediator shall specify the location within the document(s) on file with the Superfund Section that show(s) that the requirement has been met. Groundwater remedial action shall be considered initiated only upon the submission to the Division of the groundwater remedial action construction completion report, certified in accordance with .0306(b) by the REC and the Remediator, and upon commencement of the actual operation of the remedial system. The remedial action for groundwater shall not be considered complete until the Remediator has submitted, for groundwater, a remedial action completion report and work phase completion statement, both certified in accordance with .0306(b) by the REC and the Remediator. Respondents shall perform, at a minimum, all actions necessary to implement the Statement of Work (SOW), which is attached as Appendix A, and comply with the schedule attached to the SOW. 21. The EPA Guidance on Conducting Non-Time-Critical Removal Actions under Superfund (OSWER Directive 9360.0-32) and any additional relevant guidance shall be followed in implementing the SOW. 22. The removal response action goals are the further characterization, studies, analysis, and preliminary design that will lead ultimately to a final remedy at the GASCO Sediments Site. Conducting this work now will facilitate construction of the final remedy to begin expeditiously following issuance of a Record of Decision (ROD) for the Portland Harbor Superfund Site. The studies and other work under the SOW will be incorporated into the remedial investigation/feasibility study (RI/FS) for the remedy decision to be made for the Portland Harbor Superfund Site. This response action will include preference for removal of in-river materials containing “substantial product” (as defined in 3.6.2.1 of the SOW) such as Dense Non Aqueous Phase Liquid (DNAPL) and tar. It is anticipated that final remedial action will be implemented under a consent decree following EPA issuance of the ROD. Nonetheless, EPA reserves its claims and does not waive its authority to order the Respondents to perform response actions at the GASCO Sediment Site under CERCLA’s order authorities either before or after a ROD is issued. Respondents agree that this Settlement Agreement does not address the timing or performance of cleanup work and that such work will be the subject of future orders or settlement agreements. 23. After review of any plan, report, or other item that is required to be submitted for approval pursuant to this Settlement Agreement and SOW, in a written notice to Respondents, EPA may: (a) approve, in whole or in part, the submission; (b) approve the submission upon specified conditions; (c) modify the submission to cure the deficiencies; (d) disapprove, in whole or in part, the submission, directing that Respondents modify the submission; or (e) any combination of the above. If EPA requires revisions, Respondents shall submit a revised document within 30 days of receipt of EPA’s notification of the required revisions. However, EPA shall not modify a submission itself without first providing Respondents at least one notice of deficiency and an opportunity to cure within 30 days, except where ...
