SUBSCRIPTION FOR SHARES AND REPRESENTATIONS BY AND COVENANTS OF INVESTOR. 1.1 Subject to the terms and conditions hereinafter set forth, the Investor hereby subscribes for and agrees to purchase from the Company 4,000,000 Shares at a price of $0.25 per Share. The Company agrees to sell such Shares to the Investor for said purchase price. The purchase price is payable by wire transfer of funds directly by the Investor to the Company on the Closing (as defined herein).
SUBSCRIPTION FOR SHARES AND REPRESENTATIONS BY AND COVENANTS OF INVESTOR. 1.1 Subject to the terms and conditions hereinafter set forth, the Investor hereby subscribes for and agrees to purchase from the Company 5,306,122 shares at a price of $0.49 per Share which is equal to or in excess of the closing bid price immediately preceding the execution of this Agreement. The Company agrees to sell such Shares to the Investor for said purchase price. The purchase price is payable in accordance with the schedule attached hereto as Exhibit A. The certificates for the Shares will be delivered by the Company within ten (10) days following the Closing of this Offering as set forth in Article III hereof.
