Subsequent Extensions. Upon expiration of the Second Extension Period thereof this Agreement shall be automatically renewed for a one-year term, and at the end of such one-year term for additional one-year terms for each year thereafter, unless terminated by either Party upon written notice to the other Party to that effect delivered at least ninety (90) days before the end of the second extension period or any such one-year term.

Subsequent Extensions. At the expiration of the Initial Term, if this Agreement is in full force and the parties have performed all terms and conditions thereof, and provided the Client has not given prior written notice to PayCourt of its intention not to extend this Agreement, this Agreement shall be automatically extended upon the same terms and conditions as herein provided, for successive one (1) year terms until notice of termination or non-renewal is given as provided in the Agreement.
Subsequent Extensions. To extend the Exclusivity Period for each six (6) month period following the initial extension described in clause (a) ---------- above, Applied (and its Affiliates) must have purchased from Therma-Wave during the immediately preceding twelve (12) months at least **** of all of Applied's (and Applied's Affiliates') requirements for Integrated Metrology Tools for which there is a Qualified Therma-Wave Tool that Therma-Wave is able to supply. For the purpose of calculating Applied's and Applied's Affiliates' purchases, all Integrated Metrology Tools purchased from Therma-Wave by Applied and Applied's Affiliates, including purchases from Therma-Wave on their behalf by their respective contract manufacturers, shall be included. For the purpose of calculating the applicable requirements of Applied and Applied's Affiliates, all Integrated Metrology Tools for which there is an equivalent Qualified Therma- Wave Tool that Therma-Wave is able to supply that are purchased by Applied and Applied's Affiliates, including purchases on their behalf by their respective contract manufacturers, shall be included.

  • Patent Extensions Subject to the remainder of this Section 6.6, if any election for patent term restoration or extension, supplemental protection certificate or any of their equivalents may be made with respect to any Patent within the Licensed IP, after consultation with Celgene, the Parties will discuss and seek to reach mutual agreement whether or not to take such action. If the Parties are not able to reach mutual agreement, (a) Celgene will have the sole right to make the final decision whether or not to seek such patent term restoration or extension, supplemental protection certificate or any of their equivalents with respect to Specific Patents and Patents within the Collaboration IP licensed to Celgene hereunder and (b) Bluebird will have the sole right to make the final decision whether or not to seek such patent term restoration or extension, supplemental protection certificate or any of their equivalents with respect to all other Patents within the Licensed IP.

  • Contract Extension The City may, in its sole discretion, unilaterally exercise an option to extend the Contract as described in the Contract Documents. In addition, the City may, in its sole discretion, unilaterally extend the Contract on a month-to-month basis following contract expiration if authorized under Charter section 99 and the Contract Documents. Contractor shall not increase its pricing in excess of the percentage increase described in the Contract.

  • Time Extensions 2.03.1 If Contractor requests an extension of time to complete its performance, then the Director, in consultation with the CPO, may, in his or her sole discretion, extend the time so long as the extension does not exceed 90 days.   • Due Date Extension If any payment of principal or Yield with respect to any Advance falls due on a day which is not a Business Day, then such due date shall be extended to the next following Business Day, and additional Yield shall accrue and be payable for the period of such extension at the rate applicable to such Advance.

  • Initial Extension of Credit The obligation of Lender to make the initial Advance or issue the initial Letter of Credit is subject to the condition precedent that Lender will have received on or before the day of such Advance or issuance of such Letter of Credit all of the following, each dated (unless otherwise indicated) the Closing Date, in form and substance satisfactory to Lender:

COUNTY will review the request and determine in its sole discretion whether the situation warrant a time extension at no-cost or with costs. If CONTRACTOR completes the Task Order beyond the stipulated completion date without COUNTY’s specific written approval for time extension, CONTRACTOR will be subject to liquidated damages and may be construed as non-responsive, which may affect CONTRACTOR for considerations for future Task Orders or projects.
