Survival and Assignment. You agree that notwithstanding anything in this Agreement to the contrary, your obligations under this Agreement, specifically, but without limitation, Paragraph 8 of this Agreement, shall survive any termination of this Agreement and/or the relationship between you and the Company to the extent necessary to give effect to the subject provisions according to their terms. This Agreement shall be binding upon and inure to the benefit of your heirs and representatives and the assigns and successors of the Company, but neither this Agreement nor any rights or obligations hereunder shall be assignable by you. The Company shall have the right to assign this Agreement to any of its affiliates, successors, or related companies, whether now in existence or later formed.
Survival and Assignment. Participant understands that Participant’s obligations under this Article III will continue in accordance with its express terms regardless of any changes in the terms and conditions of Participant’s services to the Company Group. Participant further understands that Participant’s obligations under this Article III will continue following Participant’s Termination of Service regardless of the manner of such termination and will be binding upon Participant’s heirs, executors and administrators. The Company Group will have the right to assign the provisions of this Article III to its Affiliates, successors and assigns. Participant expressly consents to be bound by the provisions of this Article III for the benefit of the Company Group.
Survival and Assignment. The terms and Conditions of this agreement shall survive any change in GPA and shall govern the relationship between the GPA and the CONTRACTOR. CONTRACTOR shall not transfer, convey, or sell to a third party any right or obligation under this Lease.
Survival and Assignment. The agreements and covenants contained in Sections 10, 11, 12, 13, 14, 15, 16, 18, 22, 23 and 24 shall survive substantial consummation of the Joint Plan. The representation and warranties of HCC and the GBCC Group contained in Section 6(a)(i)-(v) and the representations and warranties of the GBCC Group contained in Section 6(b)(i) shall survive substantial consummation of the Joint Plan. The covenants of HCC, the GBCC Group and the Consenting Holders contained in Sections 21(b) and 21(c) shall survive the Agreement Termination Date. SIGNED this 28th day of April, 1999.
Survival and Assignment. Executive understands that Executive’s obligations under this Agreement will continue in accordance with its express terms regardless of any changes in Executive’s title, position, duties, salary, compensation or benefits or other terms and conditions of employment. Executive further understands that Executive’s obligations under this Agreement will continue following the termination of Executive’s employment regardless of the manner of such termination and will be binding upon Executive’s heirs, executors and administrators. Executive understands and agrees that the Corporation and/or the Bank has the right to assign this Agreement to its successors and assigns.

Executive understands that certain of the ----------------------- covenants and obligations imposed by this Agreement shall survive the termination of Executive's employment with the Company regardless of the manner of any employment termination. The parties acknowledge and understand that the privileges, benefits, and obligations of this Agreement shall inure to the benefit of and be binding on the Executive's heirs and legal representatives, and are intended to inure to the benefit of all corporate affiliates, subsidiaries, successors and assigns of the Company.
Survival and Assignment. This Agreement shall survive the termination of my employment with Employer and the assignment of this Agreement by IQVIA to any successor or other assignee and shall be binding upon my heirs and legal representatives. IQVIA shall have the right to assign this Agreement or any rights hereunder to any Subsidiary or successor.
Survival and Assignment. The terms and Conditions of this agreement shall survive any change in Landlord and shall govern the relationship between the Landlord and the Tenant. Landlord shall not transfer, convey, or sell to a third party any right or obligation under this Lease unless that third party accepts and agrees to an assignment of Landlord’s obligations to Tenant under this lease.
Survival and Assignment. This Agreement will be binding on, and inure to the benefit of, the executors, administrators, heirs, successors, and assigns of the parties; provided, however, that except as expressly provided in this Agreement, this Agreement may not be assigned either by Company or by Employee.
