SURVIVAL OF CERTAIN PROVISIONS UPON TERMINATION. Upon a termination of this Agreement as provided herein, this Agreement and the Merger Agreement shall become void and there shall be no further obligation or liability on the part of any party hereto or their respective shareholders, directors, or officers, except pursuant to Sections 4.09, 5.07, 11.03, and 12 hereof, which shall survive a termination of this Agreement in accordance with the express terms of such Sections.
