Suspension of Access Rights. If a Suspension Event specified in Schedule 6 occurs, Aurizon Network may, by notice in writing to the Access Holder and the relevant Operator (Suspension Notice), suspend the Access Rights of the Access Holder.

Suspension of Access Rights. (a) Aurizon Network may, by notice in writing to the End User and the Operator prior to or immediately following the suspension, suspend the Access Rights of the End User upon the occurrence of any one or more of the followings events or circumstances: (i) the End User fails to pay when due any amount payable under this Agreement and such default continues for seven (7) days after notice from Aurizon Network to the End User of the default; (ii) the End User fails to establish, maintain or replace the Security Deposit in accordance with this Agreement and such default continues for seven (7) days after notice from Aurizon Network to the End User of the default; (iii) the End User fails to obtain, maintain or replace any relevant insurances in accordance with this Agreement and such default continues for seven (7) days after notice from Aurizon Network to the End User of the default; (iv) The End User is subject to an Insolvency Event and such default continues for seven (7) days after notice to the End User of the default; or (v) The End User purports to assign or transfer the whole or any part of its rights or obligations under this Agreement, other than in accordance with this Agreement, and such default continues for seven (7) days after notice from Aurizon Network to the End User of the default. Such suspension shall continue until such time as the End User has rectified the relevant default and, where appropriate, taken action to prevent its recurrence. (b) The suspension of Access Rights does not affect or suspend any obligation of the End User, including the obligation to pay [Access Charges/TOP Charges] under this Agreement. (c) Where the End User's Access Rights are only partially suspended and there is more than one existing Operator: (i) subject to clause 13.1(c)(ii), Aurizon Network will reduce the Train Services to be operated by each Operator utilising the Access Rights as closely as is practicable to pro-rata in proportion to the Train Services for which they were nominated as the Operator by the End User at the date of the suspension; and (ii) on receiving written notice from the End User specifying how the reduction in Train Services resulting from the partial suspension should be allocated among Operators, reduce the Train Services to be operated by each Operator in accordance with the allocation notified by the End User.

  • Provision of Access Subject to the terms of this Agreement, Flock hereby grants to Agency a non-exclusive, non-transferable right to access the features and functions of the Services via the Web Interface during the Term, solely for the Authorized End Users. The Footage will be available for Agency’s designated administrator, listed on the Order Form, and any Authorized End Users to access and download via the Web Interface for thirty (30) days. Authorized End Users will be required to sign up for an account and select a password and username (“User ID”). Flock will also provide Agency with the Documentation to be used in accessing and using the Services. Agency shall be responsible for all acts and omissions of Authorized End Users, and any act or omission by an Authorized End User which, if undertaken by Agency, would constitute a breach of this Agreement, shall be deemed a breach of this Agreement by Agency. Agency shall undertake reasonable efforts to make all Authorized End Users aware of the provisions of this Agreement as applicable to such Authorized End User’s use of the Services and shall cause Authorized End Users to comply with such provisions. Flock may use the services of one or more third parties to deliver any part of the Services, (such as using a third party to host the Web Interface for cloud storage or a cell phone provider for wireless cellular coverage) which makes the Services available to Agency and Authorized End Users. Warranties provided by said third party service providers are the agency’s sole and exclusive remedy and Xxxxx’s sole and exclusive liability with regard to such third-party services, including without limitation hosting the Web Interface. Agency agrees to comply with any acceptable use policies and other terms of any third-party service provider that are provided or otherwise made available to Agency from time to time.

  • Suspension of Covenants (a) The following covenants (the “Suspended Covenants”) will not apply during any period during which the Notes have an Investment Grade Status (a “Suspension Period”): Section 4.07, Section 4.08, Section 4.09, Section 4.10, Section 4.11, Section 5.01(a)(3) and Section 4.17. Additionally, during any Suspension Period, the Company will not be permitted to designate any Restricted Subsidiary as an Unrestricted Subsidiary. (b) In the event that the Company and its Restricted Subsidiaries are not subject to the Suspended Covenants for any period of time as a result of the foregoing, and on any subsequent date (the “Reversion Date”) the Notes cease to have Investment Grade Status, then the Suspended Covenants will apply with respect to events occurring following the Reversion Date (unless and until the Notes subsequently attain an Investment Grade Status, in which case the Suspended Covenants will again be suspended for such time that the Notes maintain an Investment Grade Status); provided, however, that no Default or Event of Default will be deemed to exist under the Indenture with respect to the Suspended Covenants, and none of the Company or any of its Subsidiaries will bear any liability for any actions taken or events occurring during a Suspension Period and before any related Reversion Date, or any actions taken at any time pursuant to any contractual obligation or binding commitment arising prior to such Reversion Date, regardless of whether those actions or events would have been permitted if the applicable Suspended Covenant had remained in effect during such period. The Company shall notify the Trustee should the Notes achieve Investment Grade Status; provided that such notification shall not be a condition for the suspension of the covenants set forth above to be effective. The Trustee shall be under no obligation to notify the holders of the Notes that the Notes have achieved Investment Grade Status. (c) On each Reversion Date, all Indebtedness Incurred during the Suspension Period prior to such Reversion Date will be deemed to be Indebtedness existing on the Issue Date. For purposes of calculating the amount available to be made as Restricted Payments under Section 4.07(a)(4)(C) hereof on or after the Reversion Date, calculations under such covenant shall be made as though such covenant had been in effect during the entire period of time after the Issue Date (including the Suspension Period). Restricted Payments made during the Suspension Period not otherwise permitted pursuant to any of clauses (2) through (6) or (18) under Section 4.07(b) hereof will reduce the amount available to be made as Restricted Payments under Section 4.07(a)(4)(C) hereof; provided, that the amount available to be made as Restricted Payments on the Reversion Date shall not be reduced to below zero solely as a result of such Restricted Payments. In addition, for purposes of the other Suspended Covenants, all agreements entered into and all actions taken during the Suspension Period, including, without limitation, the Incurrence of Indebtedness shall be deemed to have been taken or to have existed prior to the Issue Date.
