Suspension or Termination of CiteRight Services. CiteRight may, directly or indirectly, and by use of a Disabling Device or any other lawful means, suspend, terminate or otherwise deny access to, or use of, all or any part of the CiteRight Services or CiteRight Materials by Customer, any Authorized User or any other Person, without incurring any resulting obligation or liability, if:

Jurisage may, directly or indirectly, and by use of a Disabling Device or any other lawful means, suspend, terminate or otherwise deny access to, or use of, all or any part of the CiteRight Services or CiteRight Materials by Customer, any Authorized User or any other Person, without incurring any resulting obligation or liability, if:
(a) Jurisage receives a Governmental Order that expressly or by reasonable implication requires Jurisage to do so; or
(b) Jurisage believes, in its good faith, that:
(i) Customer or any Authorized User has failed to comply with any material term of this Agreement, accessed or used the CiteRight Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any instruction or requirement of the Specifications;
(ii) Customer or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading or unlawful
