Authorization Limitations and Restrictions. Licensee shall not, and shall not permit any other Person to, access or use the Services or NCIT Materials except as expressly permitted by this Agreement and, in the case of Third Party Materials, the applicable third party license agreement. For purposes of clarity and without limiting the generality of the foregoing, Licensee shall not, except as this Agreement expressly permits:
(a) modify or create derivative works or improvements of the Services or NCIT Materials;
(b) copy the Software and Documentation, unless for archival or backup purposes only; in such case, all titles, trademarks, and copyright, proprietary and restricted rights notices shall be reproduced in all such copies, and all copies shall be subject to the terms of this Agreement;
(c) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available any Services or NCIT Materials to any Person, including on or in connection with the internet or any time-sharing, service bureau, SaaS, cloud or other technology or service;
(d) reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to the source code of the Services or NCIT Materials, in whole or in part;
(e) bypass or breach any security device or protection used by the Services or NCIT Materials or access or use the Services or NCIT Materials other than by an Authorized User through the use of such Authorized User’s own then valid Access Credentials;
(f) input, upload, transmit or otherwise provide to or through the Services or NCIT Systems, any information or materials that are unlawful or injurious, or contain, transmit or activate any Harmful Code;
(g) damage, destroy, disrupt, disable, impair, interfere with or otherwise impede or harm in any manner the Services, NCIT Systems or NCIT’s provision of services to any third party, in whole or in part;
(h) remove, delete, alter or obscure any trademarks, Documentation, Specification, warranties or disclaimers, or any copyright, trademark, patent or other intellectual property or proprietary rights notices from any Services or NCIT Materials, including any copy thereof;
(i) access or use the Services or NCIT Materials in any manner or for any purpose that infringes, misappropriates or otherwise violates any Intellectual Property Right or other right of any third party (including by any unauthorized access to, misappropriation, use, alteration, destruction or disclosure of the data of any other NCIT customer)...

(c) reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to the source code of the Services, in whole or in part;
(d) bypass or breach any security device or protection used by the Services or access or use the Services other than by an Authorized User through the use of his or her own then valid access credentials;
(e) input, upload, transmit or otherwise provide to or through the Services or CUE Audio Platform, any information or materials that are unlawful or injurious, or contain, transmit or activate any harmful code;
(f) damage, destroy, disrupt, disable, impair, interfere with or otherwise impede or harm in any manner the Services, the CUE Audio Platform or CUE Audio’s provision of services to any third party, in whole or in part;
(g) remove, delete, alter or obscure any trademarks, specifications, documentation, warranties or disclaimers, or any copyright, trademark, patent or other intellectual property or proprietary rights notices from any Services, including any copy thereof;
(h) access or use the Services in any manner or for any purpose that infringes, misappropriates or otherwise violates any intellectual property right or other right of any third party or that violates any applicable law;
(i) send spam or otherwise duplicative or unsolicited messages in violation of applicable laws;
(j) send or store infringing, obscene, threatening, libelous, or otherwise unlawful, unsafe, malicious, abusive or tortious material, including material harmful to children or violative of third-party privacy rights;
(k) send or store material containing software viruses, worms, trojan horses or other harmful computer code, files, scripts, agents or programs;
(l) attempt to gain unauthorized access to ...

Credit Union shall not, and shall not permit any other person to, access or use the MPTR or CULedger Materials except as expressly permitted by this Agreement. Without limiting the foregoing, Credit Union shall not (a) copy, modify or create derivative works or improvements of the MPTR or CULedger Materials; (b) reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to the source code of the MPTR or CULedger Materials, in whole or in part; (c) bypass or breach any security device or protection used by the MPTR or CULedger Materials or access or use the MPTR or CULedger Materials other than through the proper use of valid Access Credentials.

(b) Unless expressly permitted by Supplier or applicable law, Client shall not:
(i) bypass, breach, or disable any security device or protection used by the Application or Service, or access the Application other than by an Authorized User using his or her own valid Access Credentials;
(ii) upload or transmit any Malignant Code;
(iii) remove or alter any intellectual property notices from the Application or Supplier Materials as defined in Section 6.1; or
(iv) access or use the Application or Supplier Materials in any manner that inf ringes or violates any Intellectual Property Rights or other right of any third party or that violates any applicable law.
(b) Supplier shall not, and shall not permit any other person or entity to, breach unauthorized areas of the Application or include any Malicious or Data gathering tool except as it related to providing transparency on the Application's audit trails and logs.
Authorization Limitations and Restrictions. Access to the Services by any direct competitor of Amwell is expressly prohibited. Customer may not access the Services for purposes of monitoring their availability, performance or functionality, or for any other benchmarking or competitive purposes. Customer shall not and shall not permit any Authorized User to access or use the Services or the Amwell Materials except as expressly permitted by this Agreement and, in the case of Third-Party Materials, any applicable third-party license agreement. For purposes of clarity and without limiting the generality of the foregoing, Customer or its Authorized Users shall not, except as this Agreement expressly permits:

(p) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to discern or gain access to the source code of the R1 Technology; or
(q) input, upload, transmit or otherwise provide any unlawful or injurious information or materials to the R1 Technology, including any virus, worm, malware, or other malicious computer code.

Customer shall not, and shall not permit any Person to, access or use the Services or Macorva Materials except as explicitly permitted in this Agreement and in accordance with the Macorva Terms of Service. Without limiting the generality of the foregoing, Customer shall not, shall not attempt to, and shall not allow any Person to, except as expressly permitted in this Agreement: (i) sell, transfer, rent, lease, lend, copy, print, display, publish, modify, translate, sublicense, distribute, redistribute, syndicate, time-share, assign, electronically transmit or receive, or otherwise allow access to, in whole or in part, the Services or Macorva Materials to any Person; (ii) edit, modify, or create any derivative works or improvements of all or any part of the Services or Macorva Materials;
