Take Authorization Framework. This Agreement provides the framework for the RCHCA to issue Take Authorization to SoCalGas for the completion of the Project in accordance with the terms and conditions in the Permits, SKR HCP, and Implementation Agreement. SoCalGas agrees to comply with the Permits, SKR HCP and Implementation Agreement to obtain Take Authorization for the Project. In accordance with Paragraph 2 herein, once Take Authorization is issued by the RCHCA to SoCalGas for a Project, SoCalGas is entitled to the protection of the Permits, SKR HCP, and Implementation Agreement for the Project unless the Take Authorization is rescinded in accordance with Paragraph 6 herein. This Agreement does not give state and federal agencies regulatory control over the Parties or require the Parties to provide additional information not called for in this Agreement.

  • AUTHORIZATION AND CONSENT The Government has given its authorization and consent for all use and manufacture of any invention described in and covered by a patent of the United States in the performance of this Agreement or any part hereof or any amendment hereto or any subcontract hereunder (including any lower-tier subcontract) which is expected to exceed $100,000.

  • Licenses and Similar Authorizations The Contractor, at no expense to the City, shall secure and maintain in full force and effect during the term of this Contract all required licenses, permits, and similar legal authorizations, and comply with all related requirements.

  • ACH Authorization Merchant authorizes Service Provider to initiate debit/credit entries to the Designated Account, the Reserve Account, or any other account maintained by Merchant at any institution, all in accordance with this Agreement.   • Due Authorization; No Conflicts The execution and delivery by Seller of this Agreement, and the performance by Seller of its obligations hereunder, have been duly authorized by all necessary actions on the part of Seller and do not and, under existing facts and Law, shall not: (i) contravene any of its governing documents; (ii) conflict with, result in a breach of, or constitute a default under any note, bond, mortgage, indenture, deed of trust, license, contract or other agreement to which it is a party or by which any of its properties may be bound or affected; (iii) assuming receipt of the Permits listed on Exhibit B, violate any order, writ, injunction, decree, judgment, award, statute, law, rule, regulation or ordinance of any Governmental Entity or agency applicable to it or any of its properties; or (iv) result in the creation of any lien, charge or encumbrance upon any of its properties pursuant to any of the foregoing.
