Target Price. Developer shall not list any of the Homes in the Project for sale without the Town’s prior written consent. Developer shall provide the Town with a list of the initial Target Price for each floor plan prior to listing any Home in the Project for sale. If at any time during the Term unforeseen circumstances beyond Developer’s control result in a material increase in the costs set out in the Cost Schedule, attached hereto as Exhibit D, the parties agree to negotiate in good faith to amend the Target Price Range to address such unforeseen cost increase.
Target Price. Contractor shall use its reasonable best efforts to achieve Final Completion of the Project for an amount at or below the Target Price. The Target Price shall consist of the Target Cost plus the Contingency. Except as otherwise provided herein, Owner shall pay Contractor: (i) the Direct Costs incurred by Contractor in the performance of the Work; (ii) the Fee; and (iii) such other payments as described in the Contract.

Target Price. Total installed project cost" is equal to the sum of:
