EPC Services is defined in Section 2.1.

• The NYISO has no responsibility, and shall have no liability, for the performance of any of the EPC Services under this Agreement.

• Within six months after the Completion Date, Developer or Affected System Operator, as applicable, shall provide a final invoice to the other Party of any remaining amounts due associated with the EPC Services.

• With respect to any portion of the EPC Services already performed pursuant to the terms of this Agreement, Developer shall be responsible for all costs associated with the removal, relocation or other disposition or retirement of such related materials, equipment, or facilities.

• EPC Services shall have the meaning set forth in the recitals and shall consist of the services described in Appendix A.

• NYISO, Affected System Operator and the Transmission Developer shall cooperate with each other in good faith in obtaining all permits, licenses and authorizations that are necessary to accomplish the EPC Services in compliance with Applicable Laws and Regulations.

• NYISO reserves the right, upon written notice to Transmission Developer and Affected System Operator, to require the suspension of all work by Transmission Developer and Affected System Operator associated with the EPC Services under this Agreement if the NYISO terminates the Development Agreement pursuant to Article 8 of the Development Agreement.

• Transmission Developer, Affected System Operator, and the NYISO have agreed to enter into this Agreement for the purpose of allocating the responsibilities for the performance and oversight of the EPC Services required to construct the Affected System Upgrade Facilities.

• The Developer’s security shall be reduced on a dollar-for-dollar basis for Developer’s payments made to the Affected Transmission Owner for its performance of the EPC Services.

• The Developer’s Security shall be reduced on a dollar-for-dollar basis for Developer’s payments made to the Affected System Operator for its performance of the EPC Services.

• Within six months after completion of the EPC Services, Transmission Developer or Affected System Operator, as applicable, shall provide a final invoice to the other Party of any remaining amounts due associated with the EPC Services.

EPC Services is defined in Section 2.1. “Equinix” means the PPA Customer pursuant to the Equinix PPA. “Equinix Indemnity Agreement” means that certain letter agreement between Buyer and Equinix regarding the Equinix Landlord Consents, dated as of June 27, 2018. “Equinix Landlord Consent(s)” means each of (i) that certain Letter Agreement between Equinix and Digital 1350 ▇▇▇▇▇, LLC regarding consent to alterations to allow installation of the Facility to be installed at ▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇, Santa Clara, CA, dated as of July 25, 2018; and (ii) that certain Letter Agreement between Equinix and Digital 444 Toyama, LLC regarding consent to alterations to allow installation of the Facility to be installed at ▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇, ▇▇, dated as of July 25, 2018. “Equinix PPA” has the meaning set forth in Annex D, which, for clarity, includes the Equinix Indemnity Agreement and the Equinix Landlord Consents. “Extended Warranty Period” means, with respect to each Facility, the period commencing on the first (1st) anniversary of the date such Facility achieves Commencement of Operations and ending on the twentieth (20th) anniversary of the date of Commencement of Operations of such Facility unless (a)(i) the applicable PPA has been renewed or extended beyond such twentieth (20th) anniversary and (ii) Buyer and Seller have agreed 7

EPC Services means engineering, procurement and construction services offered or provided by Mitsui or any of its Affiliates in Japan that are related to or useful in connection with the implementation, use or exploitation of the LanzaTech Technology.
