Taxes; Licenses. City will not withhold any taxes from any payments made to Consultant, and Consultant will be solely responsible for paying all taxes arising out of or resulting from Consultant’s performance of the Services, including, without limitation, income, social security, workers’ compensation, and employment insurance taxes. Consultant will be solely responsible for obtaining all licenses, approvals, and certificates necessary or appropriate to perform the Services.

Contractor will be solely responsible for obtaining all licenses, approvals, and certificates necessary or appropriate to perform the Services.
Taxes; Licenses. A. Contractor will be paid from a General Account, not the Payroll Account. No taxes will be withheld from Contractor’s Contract Fee received from the Company pursuant to Paragraph 2 of this Agreement. The Company will provide IRS Form 1099-Misc. to Contractor. Contractor will be solely responsible to pay any and all state and/or federal income, social security and unemployment taxes for Contractor and his or her employees, if any. Contractor and Company agree that Company will treat Contractor as an independent contractor for purpose of all tax laws, state or federal, and file forms consistent with that status. B. Contractor agrees, as an independent contractor, he or she is not eligible for unemployment benefits in the event this contract ends for any reason. Contractor agrees, as an independent contractor, he or she is not eligible for workers’ compensation in the event he or she is injured performing services under this Agreement. In the event Contractor hires employees, Contractor agrees he or she is responsible to pay for any applicable workers’ compensation insurance coverage for such employees. Contractor agrees to pay an unemployment taxes due on the earnings of employees of Contractor, if any. C. Contractor shall acquire, from the appropriate governmental or credential issuing agency, all permits, licenses and the like necessary to perform Contractor’s obligations under this contract and Contractor will insure that such permits, licenses and the like remain in force during the term of this Agreement. D. Contractor shall indemnify and hold harmless the Company and its agents and employees against any claims, ruling and/or decisions by a state and/or federal agency or court that Company must pay any tax of any kind because of a ruling that Contractor or his sub-contractors are employees for any reason. Contractor shall indemnify and defend the Company and its agents and employees and save them harmless against any such taxes and against costs, loss or damage, including attorney’s fees and legal expenses, in any way connected therewith.

Except as expressly provided in this Lease, Tenant shall have no obligation to pay real estate taxes and assessments for the land and for all improvements, including the Building, situated on the land. The term “real estate taxes and assessments” as used in this paragraph shall mean all real and personal property taxes and assess- ments, license taxes, sewer charges, improvement bonds and other governmental levies imposed by any authority having direct or indirect power to tax the Building, common areas and the land thereunder, together with any taxes or assessments im- posed in substitution of or as a supplement to any taxes or assessments previously included within the definition of real estate taxes and assessments. Tenant shall pay all license and permit fees required for the opera- tion of its business or equipment within the Lease Premises.

Taxes; Licenses. Prices are subject to adjustment for any excise, sales, privilege, use or any other taxes, local, state, federal or foreign, which CSP may be required to pay in the course of the sale or delivery of the parts or tooling.
