CONTRACTOR AS AN INDEPENDENT CONTRACTOR. The Contractor shall provide the services required herein strictly under a contractual relationship with the Recipient and is not, nor shall be, construed to be an agent or employee of the Recipient. As an independent Contractor, the Contractor shall pay any and all applicable taxes required by law. In performing the services hereunder, the Contractor shall comply with all pertinent Federal, State, and local statutes including, but not limited to, the Fair Labor Standards Act, The Americans with Disabilities Act, the Federal Civil Rights Act, and any and all relevant employment laws. The Contractor shall be responsible for all income tax, social security and Medicare taxes, Federal unemployment taxes, and any other withholdings from its employees’ wages or salaries. A) The Contractor shall hire, compensate, supervise, and terminate members of its work force; shall direct and control the manner in which work is performed including conditions under which individuals will be assigned duties, how individuals will report, and the hours individuals will perform. B) The Contractor shall not be exclusively bound to the Recipient and may provide service to other private and public entities.

CONTRACTOR AS AN INDEPENDENT CONTRACTOR. 13.1. It is expressly understood that Contractor, in its operations hereunder, is an independent contractor separate and distinct from The Home Depot. This Agreement shall not be construed to create a partnership, joint venture, or franchise between The Home Depot and Contractor, nor to create between the parties the relation of employer and employee, principal and agent, or franchisor and franchisee.

The Contractor shall pay all insurance and contributions for Social Security and unemployment for all wages, salaries and other forms of payments made to the Contractor’s employees as a result of the work.
CONTRACTOR AS AN INDEPENDENT CONTRACTOR. Contractor is and shall remain an independent contractor with respect to all services performed hereunder, and does hereby accept full and exclusive liability for the payment of any and all contributions or taxes for Social Security, unemployment insurance or old age retirement benefits, pension or annuities now or hereafter imposed under any state or federal law which are measured by the wages, salaries or other remunerations paid to Contractor or persons employed by Contractor for work performed under the terms of this Contract, and further agrees to obey all lawful rules and regulations and to meet all lawful requirements which are now, or hereafter may be, issued or promulgated under said respective laws.
CONTRACTOR AS AN INDEPENDENT CONTRACTOR. Notwithstanding anything contained herein to the contrary, Contractor shall not be deemed to be acting as an agent, servant or employee of the Workforce Development Corporation (“WDC”), the New York City Department of Small Business Services (“SBS”), the City of New York (the “City”), or the New York City Economic Development Corporation (EDC), by virtue of this Agreement, but shall be deemed to be an independent contractor.

CONTRACTOR AS AN INDEPENDENT CONTRACTOR. The Contractor shall provide the transportation services required herein as an independent contractor; Contractor is not and shall not be construed to be an agent or employee of the Recipient. As an independent Contractor, the Contractor shall pay any and all taxes imposed by law upon Contractor. In performing the services hereunder, the Contractor shall comply with all applicable federal, state, and local laws applicable to Contractor. The Contractor shall be responsible for Ohio workers compensation coverage for its employees and for all income tax, social security and Medicare taxes, unemployment taxes, and any other withholdings from Contractor’s employees’ wages or salaries. A) The Contractor shall hire, compensate, and supervise members of its work force and shall direct and control the manner in which transportation work is performed, including the conditions under which individuals will be assigned duties, how individuals will report, and the hours individuals will work. B) The Contractor shall not be exclusively bound to the Recipient and may provide transportation or other service(s) to other private and public entities.

Individuals utilizing a personal social security number for tax identification purposes and business entities with four (4) or fewer employees must complete and submit, as Exhibit D, the OPERS independent contractor acknowledgment form.
