Term of Orders. Unless otherwise stated in an order, (i) orders and all subscriptions under them will automatically renew for additional one-year periods unless a party notifies the other of non-renewal 60 or more days before the renewal date, (ii) an automatically renewing order will remain unchanged from the prior term except for any pricing increase of which Company has notified Customer 90 or more days before the renewal date, and (iii) upon automatic renewal, the per-unit pricing for the Software will not increase by more than 5% over that in the prior term unless the prior pricing was clearly designated in the order as promotional or one-time.
Term of Orders. The term of each order must be specified in the order.
Term of Orders. Contractor will provide the Services beginning on the date Customer activates the Gateway for a specific site (the “Activation Date”). For sites activated on or before the 15th day of the month, Inovonics will invoice Customer in that month with an effective Site Order Term start date as the 1st day of the activation month, and every 12 months thereafter for all applicable fees and charges for use of the Service Offerings during the applicable Site Order Term. Sites activated after the 15th day of the month will be invoiced the following month with an effective Site Order Term start date as the 1st day of the following month, and every 12 months thereafter for all applicable fees and charges for use of the Service Offerings during the applicable Site Order Term. At the end of the Site Order Term, the Site Order will automatically renew for another 12-month Site Order Term unless one party gives the other party notice of termination, Service type reduction, or Tier Level reduction effective at the end of the then-current Site Order Term at least 60 days prior to the end of the then-current Site Order Term. At a minimum, annual renewals will include the Services and Tier Levels validated by Inovonics on the last day of the Site Order Term unless otherwise agreed to by the parties in writing.
Term of Orders. The term of each Order will commence on its “Start Date” (as defined and stated therein) and shall continue in effect thereafter for its term as may be specified in any such Order and in accordance with the provisions stated therein. In the event no term is indicated in an Order for Software Services, (a) the term of such Order will be the three (3) year period commencing on the Start Date (as defined and stated in such Order); and (b) such term will automatically renew for successive 12 month periods unless either party notifies the other in writing of its decision not to extend the term of such Order at least 60 days prior to the expiration of the then current term.
Term of Orders. The term of an Order starts on its effective date and terminates when all Services ordered under it are terminated or completed. For the term of Subscriptions ordered on an Order, see Section 3.1 (Subscriptions).
Term of Orders. An Order may specify the effective duration of the Databricks Services purchased under such Order.
Term of Orders. Unless earlier terminated in accordance with the terms of this Agreement, the initial term of each Order begins on its effective date and continues for the term stated in that Order (together with any options to extend the term of the Order exercised by Buyer, the “Order Initial Term”). When the Order Initial Term expires, the term of each Order will continue until either (1) Buyer gives Contractor at least 30 days’ prior written notice of termination or (2) Contractor gives Buyer at least 180 days’ prior written notice of termination (the “Order Term”).
Term of Orders. Each Order will commence on the start date as specified in the Order or Delivery, whichever is the later, and continue for the duration specified in the Order.
Term of Orders. Each of the Orders shall come into force on the date it is executed by its parties in accordance with clause 2 of the framework agreement or such later date as is specified in the relevant Order and shall continue, unless terminated earlier in accordance with these Applicable Terms or by law, until the expiry of the term set out in the relevant Order.
Term of Orders. Except as may otherwise be provided in an Order, the term of each Order shall run a period of one (1) year from the Order’s Effective Date (“Initial Term”), and shall automatically renew on a year-to-year basis (each a “Renewal Term”) (the Initial Term and any Renewal Term may be referred to as a “Term”) unless otherwise terminated in accordance with this Agreement. If a Party desires to not renew an Order for an additional term, such Party must notify the other Party in writing at least sixty (60) days prior to the expiration of the Initial Term or then current Renewal Term of the applicable Order.
