Termination by Voluntary Resignation by the. Executive (other than Resignation for Good Reason). Upon any voluntary resignation by Executive that is not a Resignation for Good Reason, the Company shall have no further obligation to the Executive hereunder except for the payment of (i) the portion of the Annual Base Salary for the period prior to the effective date of termination earned but unpaid (if any), (ii) all unreimbursed expenses (if any), subject to Section 2.4 and Section 5.10(c), and (iii) the payment or provision of any Other Benefits. For the avoidance of doubt, Executive shall have no right to receive (and Other Benefits shall not include) any amounts under any Company severance plan or policy or pursuant to Article 3 or Article 4 upon any voluntary resignation by Executive that is not a Resignation for Good Reason.

Upon any voluntary resignation by Executive that is not a Resignation for Good Reason, the Company shall have no further obligation to the Executive hereunder except for the payment of: (i) the portion of the Annual Base Salary for the period prior to the effective date of termination earned but unpaid (if any); (ii) all unreimbursed expenses (if any), subject to Section 2.4 and Section 5.10(c); (iii) payment for all accrued, unused vacation days; and (iv) the payment or provision of any Other Benefits. In addition, the Company shall retain Executive as a consultant for a period of twelve (12) months following the Termination Date, pursuant to the terms of a consulting agreement providing consulting fees equal to 50% of Executive’s then-current base salary, in exchange for Executive providing services up to a maximum of 20 hours per week, and other mutually agreeable terms. For the avoidance of doubt, Executive shall have no right to receive (and Other Benefits shall not include) any amounts under any Company severance plan or policy or pursuant to Article 3 or Article 4 upon any voluntary resignation by Executive that is not a Resignation for Good Reason.

  • TERMINATION BY MPS MPS further reserves the right to terminate this Contract at any time for any reason by giving Contractor written notice by Registered or Certified Mail of such termination. MPS will attempt to give Contractor 20 days’ notice, but reserves the right to give immediate notice.
