Termination without Notice. Subject to the provisions of the applicable laws, if any, the Employer may also terminate this Agreement at any time with immediate effect without notice and with no liability to make any further payment to the Employee (other than in respect of amounts accrued due at the date of termination) if the Employee: a) Fails to satisfactorily complete, to the Employer’s satisfaction, his/her comprehensive background screening checks; b) Is guilty of any gross misconduct affecting the business of the Company or its affiliates; c) Commits any serious or repeated breach or non-observance of any of the provisions of this Agreement or refuses or neglects to comply with any reasonable and lawful directions of the Employer; d) In the reasonable opinion of the Employer, negligent and incompetent in the performance of his duties; e) Is declared bankrupt or makes any arrangement with or for the benefit of his/her creditors or has a county court administration order made against him/her; f) Is convicted of any criminal offence (other than an offence under any road traffic legislation) or any offence under any regulation or legislation relating to insider dealing; g) Ceases to hold the professional qualifications needed for performance of his/her tasks under this Agreement; h) Becomes of unsound mind or a patient under any statute relating to mental health; i) Ceases to be eligible to work in India; j) Is guilty of any fraud or dishonesty or provided false information or acts in any manner which in the opinion of the Employer brings or is likely to bring the Employee or Employer into disrepute or is materially adverse to the interests of the Employer; k) Fails to adhere to the anti-harassment policy of the Employer, as revised from time to time; l) Is in breach of the Employer's anti-corruption and anti-bribery policy and related procedures and/or the applicable anti-corruption and anti-bribery laws, including but not limited to, the Prevention of Corruption Act, 1988 and the Foreign Corrupt Practices Act of 1977; or m) Is guilty of a serious breach of any rules issued by the Employer from time to time regarding its electronic communications systems.

Any delay by the Company in exercising its rights to terminate shall not constitute a waiver thereof.

Subject to the provisions of the applicable laws, if any, the Employer 15.1 The Company may also terminate this Agreement at any time your Employment with immediate effect without notice and with no liability to make any further payment to the Employee you (other than in respect of amounts accrued due at the date of terminationTermination) if the Employeeyou: (a) Fails to satisfactorily complete, to the Employer’s satisfaction, his/her comprehensive background screening checks; b) Is are guilty of any gross misconduct whether directly affecting the business of the any Group Company or its affiliates;otherwise; or c(b) Commits commit any serious or repeated breach or non-observance of any of the provisions of this Agreement agreement or refuses or neglects to comply with any reasonable and lawful directions of the Employer;directions; or d(c) In are, in the reasonable opinion of the EmployerCompany, grossly negligent and and/or incompetent in the performance of his your duties;; or e(d) Is are declared bankrupt or makes make any arrangement with or for the benefit of his/her his creditors or has a county court administration order made against him/her;him under the County Court Xxx 0000; or f(e) Is are convicted of any criminal offence (other than an offence under including, potentially, any road traffic legislationoffence; or (f) or cease to hold any offence under any regulation or legislation relating to insider dealing;professional qualification required as per Schedule 1; or (g) Ceases to hold the professional qualifications needed for performance of his/her tasks under this Agreement; h) Becomes become of unsound mind (which includes lacking capacity under the Mental Capacity Act 2005), or a patient under any statute relating to mental health;; or i(h) Ceases cease to be eligible to work in India;the United Kingdom; or j(i) Is are guilty of any fraud or dishonesty or provided false information act or acts fail to act in any other manner which in the opinion of the Employer Company brings or is likely to or could bring the Employee or Employer any Group Company into disrepute or is materially adverse to the interests of the Employer; k) Fails to adhere to the anti-harassment policy of the Employer, as revised from time to time; l) Is in breach of the Employer's anti-corruption and anti-bribery policy and related procedures and/or the applicable anti-corruption and anti-bribery laws, including but not limited to, the Prevention of Corruption Act, 1988 and the Foreign Corrupt Practices Act of 1977any Group Company; or m(j) Is breach the Gambling Act or any other gaming legislation whether in the UK or in other territories in which the Group operates and/or any associated licence conditions or codes of practice; or (k) are guilty of a serious breach of any rules issued by the Employer Company from time to time (including regarding its electronic communications systems). 15.2 The rights of the Company under clause 15.1 are without prejudice to any other rights that it might have at law to terminate the Employment or to accept any breach of this agreement by you as having brought the agreement to an end. Any delay by the Company in exercising it rights to terminate shall not constitute a waiver thereof.

Any delay by Arrival in exercising its rights to terminate shall not constitute a waiver thereof. 14.3 On the termination of this Contract the provisions of Clauses 1, 11, 12, 15 to 17, 22, 24 to 29 (inclusive) shall continue in full force and effect and any accrued claims or rights of any party at the time of termination shall not be affected by such termination but otherwise the provisions of this Contract shall cease to be effective.

The termination of the Employee’s employment howsoever arising shall not affect such of the terms hereof as are expressed to operate or have effect thereafter, in particular the provisions of Clauses 11 and 12 below, and shall be without prejudice to any right of action already accrued to the Company in respect of any rules issued breach or default by the Employer from time to time regarding its electronic communications systemshim.
