The Cirque Residences. The Unit is part of a mixed-use condominium development constructed or to be constructed by Seller in Snowmass Base Village within the Town of Snowmass Village, Colorado (the “Town”) generally referred to as “Cirque Residences at Viceroy Snowmass” (“Cirque Residences”) and is legally the second development phase of Assay Hill Lodge Condominium and, upon substantial completion of construction, shall be incorporated into Assay Hill Lodge Condominium (all property subject to such condominium regime, including the Cirque Residences, is collectively referred to as the "Condominium Project"). The Unit is established (or to be established) pursuant to a Supplement to Declaration (the “Declaration Supplement”) incorporating the Unit into the Declaration of Covenants, Conditions and Restrictions for Assay Hill Lodge Condominium recorded at Reception No. 594664 (as amended and supplemented, the “Declaration”) and a Supplement to Condominium Map (the “Map Supplement”) that supplements the Condominium Map for Assay Hill Lodge Condominium recorded at Reception No. 574907 (as amended and supplemented, the "Map"), each of which Seller has recorded (or will record) in the Office of the Clerk and Recorder of Pitkin County, Colorado (the “Pitkin County Records”). The Condominium Project is organized pursuant to the laws of the State of Colorado. It is defined as a condominium under the general provisions of the Colorado Common Interest Ownership Act, C.R.S. 38-33.3-101, et seq. (the "Act"). The Condominium Project operates as a hotel and owners will be entitled to receive certain hotel services and enjoy certain amenities as expressly set forth in this Agreement and the documents described in Section 9 below and may elect to rent the Unit through the on-site hotel operations, although such rental is not required and rentals may be handled by any rental management company or directly by the owner. It is anticipated that the hotel operations of the Cirque Residences shall be incorporated into the hotel operations of the overall Condominium Project and initially be conducted under the existing license agreement with Viceroy Hotels, L.L.C., but that the hotel will remain independently owned and operated as described in Section 19.c of this Agreement below. The Declaration Supplement and the Map Supplement must be recorded prior to the closing of the purchase and sale of the Unit (the "Closing").   • General The Trustee shall keep proper books of record and account of all the transactions of each Trust under this Indenture at its corporate trust office, including a record of the name and address of, and the Units issued by each Trust and held by, every Unit holder, and such books and records of each Trust shall be open to inspection by any Unit holder of such Trust at all reasonable times during the usual business hours. The Trustee shall make such annual or other reports as may from time to time be required under any applicable state or federal statute or rule or regulations thereunder.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.

  • Purpose The purpose of this Agreement is to identify the terms and conditions of the relationship between TIPS and Vendor. Public entities and qualifying non-profits that properly join or utilize TIPS (“TIPS Members”) may elect to “piggyback” off of TIPS’ procurements and agreements where the laws of their jurisdiction allow. TIPS Members are not contractual parties to this Agreement although terms and conditions of this Agreement may ensure benefits to TIPS Members.

  • Amendments This Agreement may not be amended, modified or waived as to any particular provision, except by a written instrument executed by all parties hereto.

  • Entire Agreement This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter contained in this Agreement and supersedes all prior agreements, understandings and negotiations between the parties.

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.

  • NOW, THEREFORE the parties hereto agree as follows:

  • IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the day and year first above written.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
