Third Party Trade Secrets. During the term of this Agreement, Executive agrees not to copy, refer to, or in any way use, information that is proprietary to any third party (including any previous employer). Executive represents and warrants that Executive has not improperly taken any documents, listings, hardware, software, discs, or any other tangible medium that embodies proprietary information from any third party, and that Executive does not intend to copy, refer to, or in any way use, information that is proprietary to any third party in performing duties for Company.
Third Party Trade Secrets. In the same way that the Company endeavors to protect its own Confidential Information, the Company endeavors not to engage in any conduct which would violate the legal protection afforded to the trade secret information of third parties. Under no circumstances will the Company accept the improper disclosure of other parties’ trade secrets. Therefore, in rendering Executive’s services hereunder, Executive agrees not to disclose to the Company or utilize in any manner trade secret information in Executive’s possession belonging to any other party.
Third Party Trade Secrets. Employee shall disclose to Company any obligations that Employee owes to any third party regarding trade secrets, know-how or intellectual property whether written, verbal or implied. Employee shall maintain these obligations and not disclose to Company or any of Company's employees any information which might violate these obligations.

The Executive represents that the Executive has not brought and will not bring with the Executive to the Company, or use in the performance of the Executive’s responsibilities for Company, any materials or documents of a former employer or third party which are not generally available to the public, unless the Executive has obtained written authorization from the former employer or other owner for their possession and use and provided the Company with a copy of such authorization.

Executive will not, during his employment with Company, improperly use or disclose any proprietary information or trade secrets of any third party, including the Company’s customers and suppliers, or of any of Executive’s former or concurrent employers or companies, if any. Executive shall not bring to the premises of the Company any unpublished documents or any property belonging to such third parties, unless consented to in writing by such third party. Executive’s employment with the Company does not and will not breach any agreement or duty which Executive has concerning confidential information belonging to others. If Executive is asked to work on any project for the Company which raises a concern regarding third-party confidential information, Executive will, as soon as this is apparent to Executive, discuss the situation with the Chief Executive Officer of Company without disclosing any confidences.
Third Party Trade Secrets. ECC will not disclose to Owner or use in its work any trade secrets, inventions or confidential information of a third party which ECC is not lawfully entitled to disclose or use.

During the Contractor’s Engagement by the Company, the Contractor agrees not to copy, refer to, or in any way use information which is proprietary to any third party (including any previous employer). The Contractor represents and warrants that the Contractor has not improperly taken any documents, listings, hardware, software, discs, or any other tangible medium that embodies proprietary information from any third party, and that the Contractor does not intend to copy, refer to, or in any way use information which is proprietary to any third party in performing the Contractor’s duties for the Company.

During the Employee’s Engagement by the Company, the Employee agrees not to copy, refer to, or in any way use information which is proprietary to any third party (including any previous employer). The Employee represents and warrants that the Employee has not improperly taken any documents, listings, hardware, software, discs, or any other tangible medium that embodies proprietary information from any third party, and that the Employee does not intend to copy, refer to, or in any way use information which is proprietary to any third party in performing the Employee’s duties for the Company.
Third Party Trade Secrets. RESELLER agrees that the Development Code and Development Documentation contain confidential information of NEC USA, Inc., ("NEC") and embody trade secrets developed by NEC at substantial cost and expense. RESELLER shall hold Development Code and Development Documentation in confidence for NEC. RESELLER shall employ reasonable secrecy precautions, at least as protective as the precautions is uses to protect its own proprietary computer programs, to protect the Development Code and Development Documentation from unauthorized copying, use or disclosure. RESELLER shall allow access to the Development Code Aventail Corporation International Distribution Agreement and Development Documentation only to employees and contractors of RESELLER who have a need to know information contained in the Development Code and Development Documentation, and upon whom RESELLER has imposed a legal duty to protect Development Code and Development Documentation from unauthorized copying, use, or disclosure. RESELLER agrees to use its best efforts to prevent, prosecute and enjoin an actual or threatened unauthorized copying, use or disclosure of Development Code and Development Documentation.

During Executive Employee's employment, Executive Employee agrees not to copy, refer to, or in any way use information that is proprietary to any third party (including any previous employer). The Executive Employee represents and warrants that the Executive Employee has not improperly taken any documents, listings, hardware, software, discs, or any other tangible medium that embodies Proprietary Information from any third party, and that the Executive Employee does not intend to copy, refer to, or in any way use information that is proprietary to any third party in performing the Executive Employee's duties for the Employer.
