Time is of the Essence; Computation of Time. Time is of the essence for each and every provision of this Agreement. Whenever the last day for the exercise of any privilege or the discharge of any duty hereunder shall fall upon a day other than a Business Day, the party having such privilege or duty may exercise such privilege or discharge such duty on the next succeeding day which is a Business Day.

Buyer, Sellers and Company agree that time is of the essence with respect to every covenant, condition to be satisfied, and action to be taken hereunder, and shall proceed accordingly with respect to every action necessary, proper or advisable to make effective the transactions contemplated by this Agreement. Whenever the last day for the exercise of any privilege or the discharge of any duty hereunder shall fall upon any day which is not a business day, the party having such privilege or duty may exercise such privilege or discharge such duty on the next succeeding business day.

However, if the last day for the giving of notice, performance of any obligation or condition or a Closing hereunder is a Saturday or Sunday or legal holiday in the State of North Carolina, then such last day shall be extended to the next succeeding business day thereafter.

If the last day for the exercise of any privilege or the discharge of any duty under this Agreement falls upon Saturday, Sunday or any public or legal holiday, whether federal or of a state in which the person having such privilege or duty resides or has its principal place of business, then the person having such privilege or duty has until 5:00 p.m. on the next succeeding regular business day to exercise such privilege or to discharge such duty.

If the date or last day to make any payment, perform any act or give any notice under this Agreement is not a usual business day, such payment, act or notice shall be timely made, performed or given if made, performed or given on the next succeeding business day.
